Mission

1. To stimulate, promote and develop interest in the arts through the presentation of theatrical performances, seminars, visual exhibits and multi-media programs.2. The development of professional artists who have: (a) a high sense of achievement (b) the ability to work well in groups (c) the ability to seek improvement and the potential of his/her artistic talent (d) the ability to keep healthy in body and mind (e) the ability to create what is needed to express fully to an audience the highest possible communication and bring to the audience understanding3. To extend access to the arts to all segments of society.

In march 2013, the organization changed its name to skylight theatre company. The organization's mission is to promote & develop interest in the arts through the presentation of theatrical performances.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The board may, by resolution adopted by a majority of the directors then in office, provided that quorum is present, create one or more committees, each consisting of two or more directors, to serve at the pleasure of the board. Appointment to such committees shall be by majority vote of the number of directors authorized. The board may appoint one or more directors as alternate members of any committee, who may replace any absent member at any meeting of the committee. Any such committee, to the extent provided in the resolution of the board, shall have all the authority of the board, except with respect to: " the approval of any action for which the nonprofit public benefit corporation law also requires board approval: " the filling of vacancies of the board or in any committee which has the authority of the board: " the fixing of compensation of the directors for serving on the board or any committee: " the amendment or repeal of these bylaws or the adoption of new bylaws: " the amendment or repeal of any resolution of the board which by its express terms is not so amendable or repeatable " the appointment of other committees of the board or the member thereof. " the expenditure of corporate funds to support nominee for director after there are more people nominated for director than can be elected. " the approval of any transaction (a) to which the corporation is a pat and in which one or more directors has a material financial interest and which does not meet the requirements of section 5233 (d)(1). (2) or (30 of the california nonprofit public benefit law; or (b) between the corporation and one or more of its directors or between the corporation or any person in which one or more of its directors have a material financial interest. Any such committee must be appointed by resolution adopted by a majority of the authorized number of directors then in office and may be designated an executive committee or by such other name as the board shall specify. The board shall have the power to prescribe the manner in which proceedings of any such committee shall be conducted. In the absence of any such prescription, such committee shall have the power to prescribe the manner in which tis proceeding shall be conducted. Unless the board or such committee shall otherwise provide, the regular and special meeting and other actions of any such committee shall be governed by the provision of this article to meetings and actions of the boards. Minutes shall be kept of each meeting of each committee.

When such a situation presents itself, the director must announce his or her potential conflict, disqualify himself or herself, and be excused from the meeting until discussion is over on the matter involved. The president of the meeting is expected to make inquiry if such conflict appears to exist and the board member has not made it known."
