Governance Explanations

Form 990, Part VI, Section A, Line 6

The foundation's articles of incorporation provide that the foundation is a membership corporation, with the members having the rights of membership as described in the foundation's bylaws. The bylaws provided for the foundation to have a lead member, designated by the bylaws to be alfred e. Mann, who would possess all powers of membership conferred by law. The bylaws also provided that up to four additional members, appointed by the lead member, would have only those rights conferred upon them by the bylaws, which include only the right to name a successor lead member under certain described circumstances. After al mann's passing, the trustees of his living trust were designated to share the "lead member" role in the foundation, having the legal ability to name and remove members of the board of directors of the foundation. In the fiscal year ending 3/31/18, the trustees notified the foundation that they were not going to be active in the role of the lead member, would like to resign from the position, and intended to approve amendments to the articles of incorporation and bylaws of the foundation that would make the foundation a nonmembership nonprofit, where the board of directors has the power to name and remove members of the board, making the board self-perpetuating. The articles of incorporation and bylaws were amended to make these changes in may 2018, but the required documents were in negotiation as of fye 3/31/18.

Financial Statement Notes

PART X, LINE 2:

The alfred e. Mann foundation for scientific research is exempt from federal income and california franchise taxes under section 501(c)(3) of the internal revenue code and the corresponding california provisions. The foundation's subsidiaries are c corporations and are subject to federal income and california franchise taxes. The alfred e. Mann foundation for scientific research had no significant unrelated business income tax during the years ended march 31, 2018 and 2017. Accordingly, no tax provision for unrelated business income has been made in the accompanying consolidated financial statements for the years ended march 31, 2018 and 2017. Medallion therapeutics, inc. And monolythix, inc. Are for-profit entities. Income taxes for these entities are provided for under the liability method, and as such, deferred income taxes are recognized for the tax consequences of temporary differences by applying enacted statutory tax rates applicable to future years to differences between the financial statement carrying amounts and the tax basis of existing assets and liabilities. A valuation allowance reduces deferred income tax assets when it is more likely than not that some portion or all of the deferred income tax assets will not be realized. The temporary differences consisted primarily of net operating loss carry forwards, which expire on various dates through 2026. At march 31, 2018 and 2017, monolythix, a subsidiary of the foundation, had recorded a valuation allowance of $661,000 against the full value of its deferred tax assets. At march 31, 2018 and 2017, medallion, a subsidiary of the foundation, had no deferred tax assets. The foundation, under the provisions of asc 740, income taxes, had no uncertain tax positions requiring accrual as of march 31, 2018 and 2017.

ALL TESTING WAS COMPLETED AND PASSED PER THE APPLICABLE REGULATIONS AND STANDARDS.AMF VETTED MULTIPLE COMPANIES FOR POTENTIAL COMMERCIALIZATION OF THE IMES-INFINITY SYSTEM. WE HAVE NARROWED THE FIELD DOWN TO ONE COMPANY THAT WE BELIEVE CAN SUCCESSFULLY COMMERCIALIZE THIS SYSTEM AND GET IT OUT TO THE PATIENTS WHO NEED IT. NEGOTIATIONS ARE CURRENTLY UNDER WAY. CURRENT TREATMENT OPTIONS ARE POORLY TOLERATED AND WHEN ADOPTED, HAVE LOW COMPLIANCE RATES. THE AIM OF THE AMF PROGRAM IS TO DEVELOP A NEUROSTIMULATION SYSTEM THAT WILL IMPROVE MEDICAL OUTCOMES AT A LOWER COST THAN CURRENTLY AVAILABLE TREATMENT OPTIONS, WHILE SOLVING THE PATIENT COMPLIANCE ISSUE. SUCH A PRODUCT SYSTEM WILL CONSIST OF A FULLY IMPLANTABLE NEURAL STIMULATOR SENSOR, CLOSED LOOP SYSTEM WITH SEAMLESS OPERATION REQUIRING MINIMAL INTERACTION FROM A PATIENT, THEREBY OFFERING A LEVEL OF PATIENT COMPLIANCE AND EFFICACY FAVORABLE TO GOLD STANDARD TREATMENTS. THE INITIAL FUNDING FOR THE IMES PROGRAM WAS COMING FROM THE NATIONAL INSTITUTES FOR BIOMEDICAL IMAGING AND BIOENGINEERING (NIBIB) AND THE NATIONAL INSTITUTE OF CHILD HEALTH AND HUMAN DEVELOPMENT (NICHD), AS WELL AS THE DEFENSE ADVANCED RESEARCH PROJECTS AGENCY (DARPA). IN 2008, AMF ASSUMED CONTROL OF AND RESPONSIBILITY FOR THE ENTIRE PROJECT, PERFORMING MISSION CRITICAL ENGINEERING TASKS, AS WELL AS PREPARING FOR AND CONDUCTING A CLINICAL TRIAL. THE IMES SYSTEM WAS IMPLANTED IN THE RESIDUAL LIMB OF AN AMPUTEE, AND TRANSMITTED MUSCLE SIGNALS TO A WEARABLE PROSTHESIS TO PERMIT CONTROL OF THE PROSTHESIS IN A MORE NATURAL AND INTUITIVE MANNER. STATUS:DURING THE LAST YEAR AMF HAS COUNTINUED TO MONITOR ALL THREE IMES CLINICAL TRIALS. THE FIRST CLINICAL TRIAL IS IN THE US. THIS TRIAL IS FOR TRANSRADIAL (UPPER LIMB, BELOW THE ELBOW) AMPUTATION PATIENTS, AND IS STILL ONGOING AT WALTER REED NATIONAL MILITARY MEDICAL CENTER. THE TWO OTHER CLINICAL TRIALS ARE IN EUROPE. ONE OF THE TRIALS IS IN ICELAND AND THE OTHER IS IN AUSTRIA. THE ICELANDIC STUDY IS FOR A TRANSFEMORAL (LOWER LIMB, ABOVE THE KNEE) AND FOR TRANSTIBIAL (LOWER LIMB, BELOW THE KNEE) AMPUTATION PATIENTS. THE AUSTRIAN STUDY IS FOR TRANSHUMERIAL (UPPER LIMB, ABOVE THE ELBOW) AMPUTATION PATIENTS. PATIENTS FROM ALL THREE TRIALS HAVE REPORTED THAT THE NEW EQUIPMENT MADE AVAILABLE TO THEM HAS IMPROVED THEIR QUALITY OF LIFE. AMF WILL CONTINUE TO MONITOR THE PROGRESS OF THE MULTIPLE PATIENTS ENGAGED IN THESE OPEN CLINICAL TRIALS.
IRS990/ProgSrvcAccomActyOtherGrp/Desc1NEURAL RESPIRATORY DRIVE (NRD)NEURAL RESPIRATORY DRIVE (NRD) CAN BE MONITORED FROM THE AMOUNT OF ELECTRICAL ACTIVITY OCCURRING IN CERTAIN MUSCLES USED FOR BREATHING. ANALYSIS OF ELECTRICAL ACTIVITY AND OTHER MEASUREMENTS (SUCH AS RATE OF BREATHING AND HEART RATE) ALLOWS EARLY DETECTION OF DETERIORATING HEALTH IN PATIENTS WITH BREATHING PROBLEMS AT HOME OR AT THE DOCTOR'S OFFICE. THIS ALLOWS FOR EARLY INTERVENTION, ADDRESSING THE ISSUE SOONER, WHEN IT LESS SEVERE AND REDUCING THE COST OF CARE. CURRENT SYSTEMS ARE INACCURATE, AND REQUIRE CONSIDERABLE, EXPENSIVE RESOURCES. THIS SYSTEM ALLOWS PATIENTS TO IDENTIFY A POTENTIAL ISSUE THEMSELVES, AND SEEK MEDICAL INTERVENTION SOONER, PREVENTING HOSPITALIZATIONS. POTENTIAL PATIENT INCLUDE THOSE WITH COPD, ASTHMA AND PNEUMONIA SUFFERERS.STATUS:THE IMPLANTED MYOELECTRIC SENSOR (IMES) (INFINITY VERSION) WAS COMPLETED DURING FY2017. AMF IS PERFORMING ENGINEERING WORK INCLUDING TESTING TO SEE IF THE IMES CAN BE PART OF A SYSTEM TO ADDRESS THE WEAKNESSES OF CURRENT NRD SYSTEMS. THIS WORK AND TESTING INCLUDES MULTIPLE SYSTEM CONCEPTS, BENCH TESTING, AND PRE-CLINICAL TESTING. A COIL DESIGNED INTERFACE TO THE IMES SENSOR IS UNDER DEVELOPMENT THAT WILL POWER THE SENSOR AND PROVIDES A DATA CONNECTION FOR SIGNAL ANALYSIS AND CALCULATION OF THE NRD INDEX.
