“Members join the long beach area convention and visitors bureau by applying to the entity. An interested party completes an application, pays the required dues and then submits both to the entity. The organization has two types of members. The first group is for all member companies that operate and run hotels, called "operating members". Within this group, there are two subgroups. The first is for hotel members that have 200 or more rooms, called "operating - large member". The second group is for all hotel members that have less than 200 rooms, called "operating - small member." the second type of member includes all other types of member companies. Each is called a "regular member". Every member company, regardless of the group or class it belongs to, has one vote. A member is able to vote on the board of directors and the approval of decisions of the governing body.”

“Every member company in good standing, regardless of which group the member belongs to, has one vote when it comes to voting for board members. Every member of the board is determined through a vote of the general membership. Each board member has a three year term. In voting on board members, the process is as follows. The nominating committee of the board of directors chooses a slate of nominees. Board members are able to petition write-ins as nominees. If there are enough petitions for an individual to qualify as a write in candidate, they will be added to the ballot. After the ballot is completed, it is sent to the membership for vote. Members have 30 days to return ballots. The entity's bylaws require 1/3 of membership "quorum" in the return of ballots, and a nominee must have 50% of the voting power. If quorum or voting power is not met, then the open seats are considered vacant and seats are filled at the discretion of the board of directors.”

“Certain decisions are required to be approved by members. These decisions include the following: 1) changes to the number of directors, 2) changes to the length of director terms, 3) changes to the quorum requirements for taking action at membership meetings, 4) creating proxy rights for members, 5) termination of a class of membership, and 6) any changes to transfer rights.”

“A draft form 990 is reviewed with the ceo and controller first for any initial corrections. After all concerns have been addressed with the tax accountants, a final draft is provided to all board of directors members before filing with the appropriate authorities.”

This document is a public document that employees and members of a board of state or local government agencies must complete to report any investments, personal relationships, and financial conflicts.”

Periodically, a compensation survey is completed by statewide officials and used to determine if the compensation is at par with other similarly situated organizations.”
