Mission

Carlthorp school is an independent, non-profit day school for children in grades k-6. Carlthorp school provides a strong academic foundation in a diverse and nurturing school community that emphasizes traditional values, disciplined work habits, and excellence in order to prepare our students to achieve their highest potential in education and life.carlthorp school, established in 1939, is the oldest independent school in santa monica. Though the breadth of our curriculum has radically expanded in the last seventy-five years, our basic philosophy remains the same. We focus on the child as a whole, helping him or her to grow academically, socially, and ethically -- all within the framework of a traditionally academic school. The school's traditional approach to education, coupled with positive reinforcement in a caring wholesome environment prepares children to excel in today's competitive society.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The finance and audit committee is a committee of the board of directors. The committee shall be composed of three or more directors, none of whom shall be an employee of the school. All members of the committee shall be financially literate, and at least one member shall have accounting or related financial management expertise. The members of the committee shall be nominated by the board at the annual meeting of the board and shall serve until the next annual organizational meeting or until their respective successors shall be nominated.

Form 990, Part VI, Section B, Line 11B

The board of trustees reviews the form 990, without donor information, at a meeting prior to the filing of the form 990. The review of the 990 by the board includes review of: program service accomplishments; the statement of functional expenses; and the existence of a conflict of interest policy, a whistleblower policy, document retention and destruction policy, and a process for determining compensation of the head of school.

Each year, every board member, officer and key employee is required to complete and sign a conflict of interest statement, which forms are kept on file by the director of finance. Such forms describe types of conflicts of interest and require disclosure of any such conflicts.

The chair of the board of trustees and the chair of the finance committee review and approve the annual compensation of the head of school prior to execution of the head of school's annual employment contract. In connection with this deliberation, cais information regarding compensation of other heads of school is reviewed. Other key employees are reviewed by the head of school, with cais compensation information, and such reviews are documented in personnel files. The most recent year in which the process of reveiwing and approving compensation was conducted in 2016.

Financial Statement Notes

PART V, LINE 4:

At august 31, 2009, all permanently restricted net assets of the school were those raised in connection with the "a new level of excellence" capital campaign. In may 2010, at the direction of the board, the school solicited written release of such restrictions from each donor. Upon receipt of a written release from the donor, contributions so released have been reclassified as unrestricted funds. However, any unpaid pledges so released have been classified as temporarily restricted funds until collected. As of august 31, 2016, the school cumulatively reclassified $8,206,966 from permanent restricted net assets to unrestricted net assets based on donor releases. Five percent of the donor-restricted endowment funds raised in connection with the a new level of excellence capital campaign (to the extent there are net accumulated earnings on such funds) and five percent of carlthorp school's board-designed unrestricted endowment funds may be used each year in accordance with the school's endowment investment guidelines and spending policies. However, the school has not made such distributions from its endowment funds.

PART X, LINE 2:

The school has received favorable determination letters indicating it is exempt from federal income taxes under 501(c)(3) of the internal revenue code and california franchise taxes under section 23701d of the california revenue taxation code. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes all of the positions taken by the school are more likely than not to be sustained upon examination. These returns are subject to examination by federal and state taxing authorities generally three and four years respectively, after they are filed.
