Mission

The IT Governance Institute (ITGI) shares with its affiliated membership association, Information Systems Audit and Control Association (ISACA) (related organization), a mission of serving professionals and organizations by being the leading global provider of knowledge, certifications, community, advocacy and education on information systems assurance and security, governance of enterprise information technology (IT), and IT-related risk and compliance. ITGI's role focuses on provision of knowledge on IT governance and related topics. ITGI SUPPORTS research to advance international understanding of good practices to direct and control an enterprise's IT. Through its SUPPORT OF ISACA'S collaborative development model, ITGI HELPS ENABLE global perspective ON critical issues facing enterprise leaders and practitioners in their IT governance responsibilities.

The mission of the it governance institute (itgi) is to enhance the education of the (see schedule o) global business community regarding the governance of information and information systems.

Governance Explanations

Form 990, Part VI, Section B, Line 11

The 2014 form 990 for it governance institute (itgi) was prepared by cohnreznick llp (cohnreznick), based upon information provided by itgi. This document summarizes the review points and availability associated with the returns. The data for the return was compiled based on information prepared for the 2014 audit, as well as other accounting records. This information was submitted to cohnreznick for preparation of the returns. In addition to the financial information cohnreznick received, cohnreznick had an opportunity to raise questions about governance and other issues, and request additional information as needed. The narrative explanations of program accomplishments and policies were coordinated with the director of communications and the members of the executive team. Upon completion of the returns, several layers of review were conducted: - initial reviews of return: the initial review of the completed return was completed by the respective staff within the finance department. - senior management review: following the initial review, the ceo and the members of the executive team were provided a copy of the return for comment. The ceo and sr. Director human resources also provided an additional review of the compensation-related areas. Comments were forwarded to cohnreznick for incorporation into the return. - volunteer review: the compensation committee was delegated the review of the compensation-related sections of the return (as outlined in its charter). A detailed review of the form 990 compensation data and the applicable supporting documentation was completed by an independent external accounting firm. The conclusions of the review were provided to the compensation committee as part of its review of the related disclosures pertaining to compensation. -- the organizations governance advisory council (gac) chair reviewed the remainder of the return. The international president also was provided the opportunity to review the return at this time. -- comments from these reviews were evaluated and provided to cohnreznick, who updated the return, if applicable. -- the board of trustees was provided access to the return via the board portal (web site) prior to its filing.

Form 990, Part VI, Section B, Line 12C

It governance institute (itgi) has a formal, written conflict of interest policy addressing instances where a third-party relationship of a paid consultant, volunteer and/or employee could in some way potentially present or appear to present a compromise related to actions and decisions made on behalf of itgi. The policy allows for remedies and/or appropriate responses based on a joint determination by itgi management and volunteer leadership of the nature and extent of the potential conflict. The conflict of interest policy is reviewed on a periodic basis by the governance advisory council (gac) and approved by the itgi board of trustees. Potential conflicts of interest are documented and monitored each year, through (1) self-proclamations made by individual volunteers who sign the participation agreements required for participation in institute boards; (2) disclosure of conflicts in standard consulting agreements; and (3) disclosure by information systems audit and control association employees (related organization) upon hire (and annually) by review and signature of organizations employee agreement. Consultants, volunteers and employees are encouraged to report any conflicts that may arise throughout the year. If such instances are reported, they are dealt with at that time and based on the circumstances relating to the potential conflict.

Form 990, Part VI, Section B, Line 15

It governance institute (itgi) has no paid employees; therefore, there is no need for a process to determine compensation. However, itgis related membership organization, information systems audit and control association, does have appropriate processes in place for approval of compensation of its ceo, officers, and top management key employees, whose services are shared with itgi.

Form 990, Part VI, Section C, Line 19

The following documents are posted to the web site and provided upon request: (1) participation agreement and intellectual property (ip) waiver agreement, which outlines the conflict of interest policy and intellectual property ownership issues and is required to be signed by all volunteers; (2) the bylaws and articles of incorporation of the organization; and (3) the annual report. The it governance institute (itgi) does not have a form 1023, but it does provide the irs letter of determination, upon request. In addition, form 990 is publicly available through guidestars website and the illinois attorney generals website.

It governance institute (itgi) and information systems audit and control association (isaca) (related organization) serve professionals and organizations worldwide through knowledge, certifications, community, advocacy and education in the professional specialties of their members and constituents. Itgi supports isacas work to increase understanding of the relationships among different types of enterprise governance, and global practices for implementing effective enterprise governance of information technology (it). Itgi focuses primarily on frameworks and supporting documents to help enterprises achieve the five focus areas of it governance: strategic alignment, performance measurement, resource management, value delivery and risk management.

FORM 990, PART V, LINE 2:

It governance institute (itgi) does not have paid employees; therefore, there are no employees to report on form w-3. All revenue and expenses, which include employee salaries, are processed through an intercompany account with the information systems audit and control association (isaca) (related organization) to eliminate the need for supporting departments and it systems. Facilities, paid employees, equipment and other assets are shared for itgi functions. The percentage used by itgi is not material to isaca.

Financial Statement Notes

PART V, LINE 4:

Permanently restricted net assets are restricted as investments in perpetuity. The organizations endowment consists only of donor-restricted endowment funds. Net assets associated with the organizations endowment funds are classified and reported based on the existence of donor-imposed restrictions. There are no donor restrictions on the earnings of the organizations endowment funds. The organization accounts for endowment net assets by preserving the fair value of the original gift as of the gift date of the donor-restricted endowment fund absent explicit donor stipulations to the contrary. As a result, the organization classifies the original value of the gifts donated to the permanent endowment as permanently restricted net assets. All earnings on the endowment funds are unrestricted and may be appropriated for current-year operating and research expenses as allowed by the donor.

PART X, LINE 2:

The association and the institute have received favorable determination letters from the internal revenue service stating that they are exempt from federal income taxes under section 501(a) of the internal revenue code of 1986 (irc), as organizations described in sections 501(c)(6) and 501(c)(3), respectively, except for income taxes pertaining to unrelated business income. The financial accounting standards board issued guidance that requires tax effects from uncertain tax positions to be recognized in the financial statements only if the position is more likely than not to be sustained if the position were to be challenged by a taxing authority. Management has determined that there are no material uncertain positions that require recognition in the financial statements. Additionally, no provision for income taxes is reflected in these financial statements, and there is no interest or penalties recognized in the statement of activities or statement of financial position. The tax years ended 2011, 2012, 2013 and 2014 are still open to audit for both federal and state purposes.

ALL EARNINGS ON THE ENDOWMENT FUNDS ARE UNRESTRICTED AND MAY BE APPROPRIATED FOR CURRENT-YEAR OPERATING AND RESEARCH EXPENSES AS ALLOWED BY THE DONOR.

THE FINANCIAL ACCOUNTING STANDARDS BOARD ISSUED GUIDANCE THAT REQUIRES TAX EFFECTS FROM UNCERTAIN TAX POSITIONS TO BE RECOGNIZED IN THE FINANCIAL STATEMENTS ONLY IF THE POSITION IS MORE LIKELY THAN NOT TO BE SUSTAINED IF THE POSITION WERE TO BE CHALLENGED BY A TAXING AUTHORITY. MANAGEMENT HAS DETERMINED THAT THERE ARE NO MATERIAL UNCERTAIN POSITIONS THAT REQUIRE RECOGNITION IN THE FINANCIAL STATEMENTS. ADDITIONALLY, NO PROVISION FOR INCOME TAXES IS REFLECTED IN THESE FINANCIAL STATEMENTS, AND THERE IS NO INTEREST OR PENALTIES RECOGNIZED IN THE STATEMENT OF ACTIVITIES OR STATEMENT OF FINANCIAL POSITION. THE TAX YEARS ENDED 2011, 2012, 2013 AND 2014 ARE STILL OPEN TO AUDIT FOR BOTH FEDERAL AND STATE PURPOSES.
