Beginning with the 2024 fiscal year, such work experience programs were provided by asse aspire, inc. ("asse aspire"), an entity that was founded in 2023 as a california nonprofit corporation.

FEDERAL INCOME TAXES

The company is a not-for-profit organization as described in section 501 (c)(3) of the internal revenue code (irc) and is exempt from federal income taxes pursuant to the applicable sections of the irc. The company received a favorable determination letter from the internal revenue service, dated october 25, 2018, stating that asse continues to qualify for tax exempt status. Management believes that the company currently operates such that it qualifies for continued exemption from income taxes. Accordingly, no provision for federal income tax has been recorded in the accompanying consolidated financial statements. The company is subject, however, to federal and california income taxes on net unrelated business income as stipulated in irc section 511 and regulation section 1.511. During the years ended august 31, 2024 and 2023, the company had no unrelated business income. The company annually evaluates tax positions as part of the preparation of its exempt tax return. This process includes an analysis of whether tax positions the company takes with regard to a particular item of income or deduction would meet the definition of an uncertain tax position under current accounting guidance. The company believes its tax positions are appropriate based on current facts and circumstances. The company's policy is to recognize interest accrued related to unrecognized tax benefits in interest expense and penalties in operating expenses. At august 31, 2024 and 2023, the company did not have any unrecognized tax benefits. The company is no longer subject to u.s. Federal, state or local income tax examinations by tax authorities for years before 2020.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1THE COMPANY IS A NOT-FOR-PROFIT ORGANIZATION AS DESCRIBED IN SECTION 501 (C)(3) OF THE INTERNAL REVENUE CODE (IRC) AND IS EXEMPT FROM FEDERAL INCOME TAXES PURSUANT TO THE APPLICABLE SECTIONS OF THE IRC. THE COMPANY RECEIVED A FAVORABLE DETERMINATION LETTER FROM THE INTERNAL REVENUE SERVICE, DATED OCTOBER 25, 2018, STATING THAT ASSE CONTINUES TO QUALIFY FOR TAX EXEMPT STATUS. MANAGEMENT BELIEVES THAT THE COMPANY CURRENTLY OPERATES SUCH THAT IT QUALIFIES FOR CONTINUED EXEMPTION FROM INCOME TAXES. ACCORDINGLY, NO PROVISION FOR FEDERAL INCOME TAX HAS BEEN RECORDED IN THE ACCOMPANYING CONSOLIDATED FINANCIAL STATEMENTS. THE COMPANY IS SUBJECT, HOWEVER, TO FEDERAL AND CALIFORNIA INCOME TAXES ON NET UNRELATED BUSINESS INCOME AS STIPULATED IN IRC SECTION 511 AND REGULATION SECTION 1.511. DURING THE YEARS ENDED AUGUST 31, 2024 AND 2023, THE COMPANY HAD NO UNRELATED BUSINESS INCOME. THE COMPANY ANNUALLY EVALUATES TAX POSITIONS AS PART OF THE PREPARATION OF ITS EXEMPT TAX RETURN. THIS PROCESS INCLUDES AN ANALYSIS OF WHETHER TAX POSITIONS THE COMPANY TAKES WITH REGARD TO A PARTICULAR ITEM OF INCOME OR DEDUCTION WOULD MEET THE DEFINITION OF AN UNCERTAIN TAX POSITION UNDER CURRENT ACCOUNTING GUIDANCE. THE COMPANY BELIEVES ITS TAX POSITIONS ARE APPROPRIATE BASED ON CURRENT FACTS AND CIRCUMSTANCES. THE COMPANY'S POLICY IS TO RECOGNIZE INTEREST ACCRUED RELATED TO UNRECOGNIZED TAX BENEFITS IN INTEREST EXPENSE AND PENALTIES IN OPERATING EXPENSES. AT AUGUST 31, 2024 AND 2023, THE COMPANY DID NOT HAVE ANY UNRECOGNIZED TAX BENEFITS. THE COMPANY IS NO LONGER SUBJECT TO U.S. FEDERAL, STATE OR LOCAL INCOME TAX EXAMINATIONS BY TAX AUTHORITIES FOR YEARS BEFORE 2020.
