Governance Explanations

Form 990, Page 6, Part VI, Line 7A

The organization has a board of trustees whose function is to appoint or remove members of the governing body (the board of directors).

Form 990, Page 6, Part VI, Line 7B

The corporation's trustees have the power to elect and remove the corporation's directors.

Form 990, Page 6, Part VI, Line 11B

The board of directors reviews and discusses the form 990 prior to filing, and the return is reviewed by outside legal counsel.

Form 990, Page 6, Part VI, Line 12C

A survey is conducted annually requiring all directors, officers, trustees and key employees to disclose any conflicts of interest or potential conflicts of interest. The board of directors reviews all significant transactions for conflicts of interest.

Form 990, Page 6, Part VI, Line 15A

The board of directors has reviewed and approved the compensation schedule for the executive director. The approval by the board was by the vote of disinterested directors. The board believes that the executive director receives compensation that is below a comparable position at similar organizations.

Form 990, Page 6, Part VI, Line 15B

The board of directors has reviewed and approved the compensation schedule of other officers and key employees. All approvals by the board have been by vote of disinterested directors. The board believes that all other officers and key employees are paid below comparable positions at similiar organizations.

Form 990, Page 6, Part VI, Line 19

The organization makes its governing documents, conflicts policy and financial statements available upon request.

Form 990, Part VII

All officers, directors and trustees who are also employees are compensated solely for their duties as employees and not as officers, directors, or trustees.

Supplemental Narrative

Financial Statement Notes

Schedule D, Page 3, Part X

Nnit has evaluated its tax positions and the certainty as to whether those tax positions will be sustained in the event of an audit by taxing authorities at the federal and state level. It has determined that all income tax positions are more likely than not (greater than 50% chance) of being sustained upon potential audit or examination; therefore, no recognition or disclosure of uncertain income tax positions is required in the financial statements.

Schedule D, Page 4, Part XIII

The organization is currently in the process of having its financial statements audited by an independent accountant. The audit has not been completed as of the due date of the 990. It is anticipated that the audit will be completed within a short period after the due date of this filing. The amounts on line 1 of part xi and line 1 of part xii are estimates of the amounts of the revenues, gains, and other support and the total expenses and losses respectively that will be reported on the audited financial statements.
