“There shall be established and maintained an executive committee which shall be responsible for advising the board chair and the head of school, evaluating the performance and setting the compensation of the head of school, monitoring the progress of the board and the strategic plan, and making decisions delegated to it by the board between board meetings. C. A trustee, or a member of the trustee's immediate family, has a real property interest that could be impacted (either positively or negatively) by the school's operations. Following disclosure of an actual or potential conflict of interest, the board chair shall determine whether an actual conflict of interest exists, and, if so, the chair shall refer the matter to the executive committee which shall determine how best to protect the school's interest. The chair of the board shall disclose his or her own actual or potential conflicts of interest to the remainder of the executive committee, who shall determine whether an actual conflict of interest exists and, if so, refer the matter to the executive committee, which shall determine how best to protect the school's interest. Each trustee must sign and date this policy annually, at or before the first fall board meeting. In addition, key employees participate in an annual conflict of interest sign-off. A trustee who is involved in a potential conflict of interest is not allowed to vote on any matters related with the conflict of interest.”
