“The composition of the executive committee is as follows; board chair-elect, vice chair, secretary, treasurer, immediate past board chair and president/chief executive officer. All members of the executive committee, other than the president/chief executive officer, are members of leadingage california's governing body. Except as may be prohibited by law, the executive committee may act on behalf of the board in its ordinary and routine transaction of business and such other matters as the board may direct. Reports of such transactions must be made to the board.”

“The bylaws were amended and restated to limit the number of vice chairs allowed as officers to one instead of two. This also changes the number of vice chairs on the executive committee to one due to the committee consisting of the officers and president/chief executive officer.”

“Voting members consist of nonprofit organizations that have a primary mission of serving seniors or physically disabled and meet certain other criteria specified in aging services of california's bylaws.”

“Voting members have the right to elect members to the board of directors.”

“Voting members ratify the board member selection as well as approve governing documents, i.e., bylaws, name changes, etc.”
