“An amendment to the crf bylaws was adopted in june 2020 which formalized the authority of the executive committee, clarified distinctions between standing and advisory committees, allowed non-board members to serve on advisory committees, set criteria for the emeritus board, altered quorum requirements, and formalized the process for determining board classes terms.”

“Line 11a explanation - form 990 is reviewed and approved by an outside consultant and management, reviewed and approved by the audit committee, which is independent of the finance committee, and submitted to board of directors executive committee for final approval. A copy of the final form 990 is then sent electronically to all board members prior to it being filed.”

A conflict of interest disclosure statement including a list of major crf vendors with whom the foundation transacted business during the previous year is furnished annually to each director, officer, and member of the executive staff of the constitutional rights foundation. The forms are reviewed and signed by each member with any conflicts noted and returned to the crf staff member who handles board affairs. This individual compiles any positive responses and reports them to the executive committee.”
