Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is composed of eight board members, including the chair and the officers. The committee functions as the sounding board for the head of school and determines what matters should be brought to the full board's attention. The committee is charged with the determination of the head of school's compensation.

Form 990, Part VI, Section B, Line 11B

The board has authorized the treasurer to review and approve the form 990. A draft is submitted to the treasurer, who then discusses it with the director of finance, prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is circulated among board members on an annual basis. Each board member documents his/her review by signing off on the representation form and disclosing any conflicts. The director of finance maintains copies of these forms for reference. A conflict of interest shall also be deemed to exist whenever an employee has a financial interest, direct or indirect, in a customer, parent, supplier or other principal dealing with the school and that interest is of such extent or nature that it might reasonably affect his judgment or decisions exercised on behalf of the school. Such conflicts might require dismissal from the school.

Form 990, Part VI, Section B, Line 15

The executive committee uses statistics from industry groups, such as national association of independent schools and independent schools business officers association of california (cal-isboa) and information from form 990's of other organizations to determine the head of school's compensation. Historical data and other metrics are supplied by the director of finance. The executive committee takes their recommendation to the full board for approval. The committee also has oversight of the compensation of the director of finance.

The school has an audit committee that assumes responsibility for oversight of the audit of its financial statements and selection of an independent auditor.

Financial Statement Notes

PART V, LINE 4:

Endowment support at chandler school provides lasting resources for many of the programs which define the character of the school: strong faculty support, tuition assistance and excellent academic opportunities.

PART X, LINE 2:

The school has received favorable determination letters indicating it is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and from california franchise taxes under section 23701d of the california revenue taxation code. The school has adopted the provisions of the fasb standard on accounting for uncertainty in income taxes (asc 740-10-25). The school does not believe there are any material uncertain tax positions and, accordingly, it will not recognize any liability for unrecognized tax benefits.
