During the process of a identifying the individual to fill the vacant position, the ad-hoc committee provides monthly reports to the Board of Directors concerning the candidates and the progress in finding a replacement fill the vacancy. Upon selecting a candidate to fill the position, the ad hoc committee presents a motion to the Board for the approval of the candidate to fill the vacancy. The Board either adopts or rejects the motion. Compensation for the Managing Director is fixed by the Board of Directors. The Board of Directors has obtained information concerning compensation ranges for similar positions in the greater Los Angeles area. This information was shared with the Board of Directors when offering the compensation package to its Managing Director. The compensation presently paid to the Managing Director is at the very lowest end of the range. (2) The Board of Directors authorizes and approves the creation of any paid staff or management positions. The Board of Directors reviews and sets the limitations in compensation for all paid staff. The only paid position which the Board of Directors directly recruits and hires is the Managing Director. It is the Managing Directors responsibility recruit and identify individuals to fill vacant staff positions. The Managing Director reports to the Board of Directors, on a monthly basis, regarding the performance of staff and, when vacancies occur, the efforts being undertake to recruit and fill vacant positions. (3) Compensation for the Managing Director and all staff positions is reviewed by the Board of Directors annually in connection with the budgeting process.”

Upon selecting a candidate to fill the position, the ad hoc committee presents a motion to the Board for the approval of the candidate to fill the vacancy. The Board either adopts or rejects the motion. Compensation for the Managing Director is fixed by the Board of Directors. The Board of Directors has obtained information concerning compensation ranges for similar positions in the greater Los Angeles area. This information was shared with the Board of Directors when offering the compensation package to its Managing Director. The compensation presently paid to the Managing Director is at the very lowest end of the range. (2) The Board of Directors authorizes and approves the creation of any paid staff or management positions. The Board of Directors reviews and sets the limitations in compensation for all paid staff. The only paid position which the Board of Directors directly recruits and hires is the Managing Director. It is the Managing Directors responsibility recruit and identify individuals to fill vacant staff positions. The Managing Director reports to the Board of Directors, on a monthly basis, regarding the performance of staff and, when vacancies occur, the efforts being undertake to recruit and fill vacant positions.
