Governance Explanations

Form 990, Part VI, Section A, line 1

The organization has an Exectuive Committee that is authorized to act on behalf of the board when action or timely information must be considered and it is expected that a quorum of the board cannot be called together such as when the school is not in session or in case of emergency. The Executive Commitee is made up of the president, vice-president, secretary, treasurer, and vicar.

Form 990, Part VI, Section A, line 6

The school has Society Members made up of parents and constituents of the school community. The Society Members vote annually to approve the budget and Board Members. Votes are also required based on the bylaws.

Form 990, Part VI, Section A, line 7A

The Society Members vote annually to approve the Board Members.

Form 990, Part VI, Section A, line 7B

The Society Members vote annually to approve the budget. Votes are also required based on the bylaws.

Form 990, Part VI, Section B, line 11

Form 990 is prepared by an independent CPA firm and reviewed in detail by the organization's top management. The reviewed Form 990 is then forwarded to the board of directors for review and approval prior to filing.

Form 990, Part VI, Section B, line 12C

A Conflict of Interest questionnaire is distributed annually to the Board Members, Principals, Directors, Officers and Managers. The signed questionnaires are then reviewed by the Director of Business Operations. Should any potential conflicts of interest be disclosed, the interested party would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.

Form 990, Part VI, Section B, line 15

The Valley Christian School's (VCS) Board of Directors, in accordance with its board policy, reviews the performance of the Superintendent annually. This review is conducted by the Executive Committee. The compensation for the Superintendent is based primarily on the published scale from Christian Schools International. This scale takes into consideration school size, educational experience, level of education, and geographical location. The board may also, at its discretion, award additional compensation as it deems necessary to attract and retain an individual in the position of Superintendent. The compensation is defined in a contract that has been created and approved by the Executive Committee of the VCS Board of Directors. The contract is signed by the Superintendent, the Board Secretary, and the Board President. The Superintendent's contract is discussed at the executive board meetings and documented in the minutes. The Superintendent reviews the performance of the Director of Business Operations annually. The compensation is determined based on education, experience, and geographical location. The compensation is defined in a contract that is signed by the Superintendent and the Director of Business Operations.

Form 990, Part VI, Section C, line 19

Governing Documents and the Conflict of Interest Policy are available to the public upon request. The financial statements are provided annually to the society members and current parents of Valley Christian School students.

Additional Explanations

Form 990, Part XI, Line 2C

The audit committee consists of individuals knowledgeable in financial reporting, internal controls and audit functions. The majority of the committee members must be independent members without any conflicts of interest. As such, the committee members assume responsibility for oversight of the audit of its financial statements and selection of an independent accountant. This process has not changed since the prior year.

Financial Statement Notes

Part X, Line 2:

The financial statement effects of a tax position taken or expected to be taken are recognized in the combined financial statements when it is more likely than not, based on the technical merits, that the position will be sustained upon examination. Interest and penalties, if any, are included in expenses in the combined statements of activities. The School is subject to income tax examinations for the current year and certain prior years based on the applicable laws and regulations.

IRS990/Desc0This year Valley Christian School System provided a private, ethnically diverse, Christian education to 1,230 children from infant to 12th grade. At Valley Christian our mission is to educate the whole student: academically, spiritually, and physically. Our mission is: In the light of the Lordship of Jesus Christ and the authority of God's word, we will educate each unique student in cooperation with the Christian community so that he or she is equipped and inspired to make a difference for Jesus Christ in the world. Our students benefit from many opportunities that prepare them for leadership through programs in art, music, sports, service, and academics. Our students are highly involved in extra curricular activities. We offer avenues of service to develop habits and patterns of servanthood. Each student is required to perform community service. Students who have been assessed to have learning differences are aided in their studies at each campus. Students partcipate in chapel each week on campus. Eighty percent of the AP tests taken earned a passing grade of 3 or higher. SAT Scores for math, critical reading and writing exceed both state and national scores. Approximately 98% of our 2015 high school graduates are pursing higher education. Valley Christian School System is accredited by the Western Association of Schools and Colleges.
