The selection of the recently appointed CEO was overseen by a Select Committee of the Board of Directors. They worked with an outside recruitment firm and considered comprehensive data and other factors in the selection process and the determination of compensation. The Executive Committee of the Board of Directors will act as and fulfill the functions of a Compensation Committee. Compensation of other officers and key employees will now fall under the purview of the recently established Compensation Committee of the Board of Directors/i.e. the Executive Committee.

Form 990, Part III, line 2

Hillsides Education Center, located on the agency's main campus in Pasadena, offers individualized education for students with learning or behavioral challenges. The children who attend the school either live at Hillsides or come from surrounding communities. The staff of committed teachers help students refocus their energies and achieve newfound academic success through small classes, personalized attention, and progressive lesson plans. Children also have access to psychological counseling, music, art, speech therapy, and other specialized resources. Due to this comprehensive support, students' growth is not limited to just the classroom. Students learn how to solve problems, work cooperatively in groups, and express themselves creatively. The operations of Hillsides Education Center were effectively merged with Hillsides on July 1, 2013. Hillsides Education Center is now one of the four core programs of Hillsides.

Financial Statement Notes

Part V, Line 4:

Earnings from the Board designated or quasi-endowment funds are available for use of general operations as approved by the Board of Directors. The Corpus may be utilized for specific purposes but only as directed and authorized by the Board of Directors. Earnings from the permanent endowment fund are available for general operation of the organization with approval of Board of Directors. Earnings from a second permanent endowment are restricted to support for client emancipation program activities, supplies and support.

Part X, Line 2:

Hillsides is exempt from taxation under Internal Revenue Code Section 501(c)(3) and California Revenue and Taxation Code Section 23701d. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by Hillsides in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. Hillsides' returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed.
