Governance Explanations

Form 990, Part VI, Section A, Line 8B

The organization's committees do not have authority to act on behalf of the governing body. These committees can only submit recommendations to the governing body.

Form 990, Part VI, Section B, Line 11

The 990 is presented by the executive director to the full board of directors for review before it is filed.

Form 990, Part VI, Section B, Line 12C

During the annual audit, employees are questioned individually as to whether they have knowingly committed any such act violating the conflict of interest policy or know of anyone else who may have or is suspected of committing any such act. All board members are required to receive a copy of the policy and agree to comply to the policy. Any potential conflicts will be brought up in front of the board and will be resolved in the best interest of the organization.

Form 990, Part VI, Section B, Line 15

The compensation of officers, directors, and key employees is reviewed by the compensation/personnel committee through the use of a compensation review. Once the salaries are approved by the compensation committee they are presented to the board of directors annually for independent approval.

Form 990, Part VI, Section C, Line 19

The form 990, determination letter, governing documents, conflict of interest policy, and financial statements are made available upon request at the organization's headquarters.

Supplemental Narrative

Additional Explanations

Part XI, Line 8

A prior period adjustment of $16,877 was made because the prior year net asset amount was adjusted in the final financial statements after the prior year return was filed.

Schedule B, Part I

A $14,000 contribution was received but not recorded as a contribution in the financial statements for the current year. Instead, it was recorded as deferred revenue. Accordingly, the $14,000 is not included in part viii, item i(h), but is included on schedule b as a contribution received in the current year.

Financial Statement Notes

PART X, LINE 2:

The marine exchange recognizes the financial statements benefit of tax positions, such as its filing status as tax-exempt, only after determining that the relevant tax authority would more likely than not sustain the positions following an audit. The marine exchange is subject to potential income tax audits on open tax years by any taxing jurisdiction in which it operates. The statute of limitations for federal purposes is three years and for state purposes is generally three to four years.
