“The organization has 2 classes of members: voting and nonvoting”

“The voting members have the right to vote, and the nonvoting do not. The management council's primary responsibilities are (i) oversight of the business and operations of the chamber, including without limitation the power to levy dues and assessments, to select and remove all officers, agents, employees and contractors, and to fix reasonable compensation therefor, to authorize and empower officers or agents to enter into contracts and other commitments on behalf of the chamber, and (ii) setting the agenda for the board of directors. With certain limited exceptions, all rights, privileges and powers conferred by law or by the bylaws upon the board of directors are vested in the management council. The chair of the board is the chair of the management council, who shall have the power to call meetings of the management council and who presides at all meetings of the management council. The other members of the management council are the vice chair of the board, the immediate past chair of the board (unless he or she is unable or unwilling to serve), the chief executive officer; the chair for public policy, the treasurer and chair for finance; and four chairs at-large. Minutes of the meetings of the management council are kept in the same manner as in the bylaws provided for the keeping of minutes of the meetings of the board of directors.”
