“The compensation process for the president/ceo is as follows: the organization engaged a consulting company specializing in executive compensation, to prepare an annual compensation review including comparable data for executives in comparable positions. The president's compensation was reviewed by the compensation committee based upon the compensation survey and a proposed compensation package was approved by the executive committee. The full board approves the annual budget for the organization's compensation.”
