Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee is a committee of the board of trustees as defined in the corporate bylaws. The executive committee consists of the officers of the association and is empowered to act on behalf of the board of trustees between regular board meetings. Such actions shall be submitted to the full board of trustees at its next regular meeting for decisions, when appropriate, on whether to continue, change, or terminate any action initiated. The organization contemporaneously documents the meetings held and written actions undertaken during the year by the executive committee.

Members of the organization are pharmacists, pharmacy students, pharmacy technicians and others interested in advancing the interests of the profession.

All pharmacist members of the organization are eligible to vote to elect members of the governing body.

Form 990, Part VI, Section A, Line 7B

All pharmacist members have the right to vote on governance decisions of the organization. These decisions include proposed amendments to the constitution, bylaws, and professional policies of the association.

Form 990, Part VI, Section B, Line 11B

Approximately one week prior to the filing of the form 990 the completed form is sent via an email attachment to all members of the audit committee and board of trustees. These board and committee members who are requested to review and raise comments, questions, and concerns prior to the form 990 being filed.

Form 990, Part VI, Section B, Line 12C

Members of the board of trustees are required to complete a conflict of interest questionnaire, which requires the disclosure of past and present potential and actual conflicts of interest. The questionnaire requires the trustee disclose and/or excuse themselves from any discussion and/or from voting on any particular issue where a potential or actual conflict exists.

Form 990, Part VI, Section B, Line 15

As provided for in the bylaws, the board of trustees shall be vested with full and complete authority to conduct the business of the association, including the hiring, involuntary termination, evaluation and setting compensation for the chief executive officer (ceo). The board of trustees shall adhere to the following in conducting the annual evaluation of the ceo: the board of trustees shall delegate the process of evaluating the ceo to the executive committee who shall be deemed the evaluation committee. The evaluation committee shall charge the president, president-elect, and immediate past president collectively with conducting the evaluation. The board of trustees hires an independent consultant to assist the board in conducting the evaluation and determining compensations. In considering the annual compensation for the ceo, the board of trustees shall have full authority to determine all components of compensation and an associated benefits package on behalf of the association. These components may include, but are not limited to, salary, health and wellness benefits, bonus, retirement, vehicle allowance, or any other element of compensation or benefits that the board deems appropriate, provided those elements comply with applicable state and federal law. This process was last undertaken in 2016. The board approves all hiring of individuals with employment contracts. It uses an outside consulting firm to evaluate and document performance and also determine compensation.

THE BOARD OF TRUSTEES SHALL ADHERE TO THE FOLLOWING IN CONDUCTING THE ANNUAL EVALUATION OF THE CEO: THE BOARD OF TRUSTEES SHALL DELEGATE THE PROCESS OF EVALUATING THE CEO TO THE EXECUTIVE COMMITTEE WHO SHALL BE DEEMED THE EVALUATION COMMITTEE. THE EVALUATION COMMITTEE SHALL CHARGE THE PRESIDENT, PRESIDENT-ELECT, AND IMMEDIATE PAST PRESIDENT COLLECTIVELY WITH CONDUCTING THE EVALUATION. THE BOARD OF TRUSTEES HIRES AN INDEPENDENT CONSULTANT TO ASSIST THE BOARD IN CONDUCTING THE EVALUATION AND DETERMINING COMPENSATIONS. IN CONSIDERING THE ANNUAL COMPENSATION FOR THE CEO, THE BOARD OF TRUSTEES SHALL HAVE FULL AUTHORITY TO DETERMINE ALL COMPONENTS OF COMPENSATION AND AN ASSOCIATED BENEFITS PACKAGE ON BEHALF OF THE ASSOCIATION. THESE COMPONENTS MAY INCLUDE, BUT ARE NOT LIMITED TO, SALARY, HEALTH AND WELLNESS BENEFITS, BONUS, RETIREMENT, VEHICLE ALLOWANCE, OR ANY OTHER ELEMENT OF COMPENSATION OR BENEFITS THAT THE BOARD DEEMS APPROPRIATE, PROVIDED THOSE ELEMENTS COMPLY WITH APPLICABLE STATE AND FEDERAL LAW. THIS PROCESS WAS LAST UNDERTAKEN IN 2016. THE BOARD APPROVES ALL HIRING OF INDIVIDUALS WITH EMPLOYMENT CONTRACTS. IT USES AN OUTSIDE CONSULTING FIRM TO EVALUATE AND DOCUMENT PERFORMANCE AND ALSO DETERMINE COMPENSATION.
