The executive director's compensation must be approved by the board of directors. In addition, the srsa has a wage administration plan which provides that all employees are paid according to the contribution they make to the srsa's success. Within the capability to do so, they are paid at a level that compares favorably with salaries paid for comparable services in other non-profit organizations. Management will review salaries annually and will make adjustments based on merit. Adjustments will go into effect on july 1, the first day of each new fiscal year or on the initial one year anniversary for new employees.”

“Audit committee the audit committee is responsible for compliance with the nonprofit integrity act signed into state law in 2004. The board of directors must appoint the committee. The audit committee may include non-board members. And it may include members of the finance committee, but the chair of the audit committee my not be a member of the finance committee and the members of the finance committee must constitute less than half of the audit committee. Chairperson or at least one member should have substantial financial experience. The audit committee may not include any member of the staff, including the president or cfo and the treasure or cfo or any person who has a material financial interest in any entity doing business with the santa rosa symphony. Audited financial statements must be made available for inspection by the attorney general and the general public no later than 9 months after the close of the fiscal year. Five duties of the audit committee are spelled out in the act. 1. Shall recommend to the board of directors the retention and termination of the independent auditor 2. May negotiate the compensation of the auditor on behalf of the board 3. Shall confer with the auditor (best practice is minimum of two meetings, before and after audit) to satisfy the committee members that the financial affairs of the santa rosa symphony are in order. 4. Shall review and determine whether to accept the audit for approval by the board of directors. 5. Shall approve non audit services by the auditing firm.”
