Governance Explanations

Form 990, Part VI, Section B, line 11B

The CFO, CEO and secretary review the Form 990. The Form 990 is then made available to the Board for their final review and approval before filing.

Form 990, Part VI, Section B, line 12C

The Conflict of Interest policy applies to Interested Persons, which include any trustee, director, principal officer, member of a committee with governing board delegated powers, or any member of the Administration of the Organization who has a direct or indirect financial interest. Interested persons are required to disclose the existence of any financial interest and be given the opportunity to disclose all material facts to the trustees, directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. If a conflict is determined to exist, the chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, line 15

Board Compensation committee strives to review CEO and CFO compensation annually for CEO and CFO. The Board evaluates benchmark compensation from 990s and purchased compensation surveys to determine compensation. For CEO a third party compensation expert is hired every 2-3 years to evaluate and recommend compensation for the CEO.

There is no provision for federal or state taxes on income since the Organization is a tax-exempt entity under Internal Revenue Code Section 501(c)(3) and California Revenue and Taxation Code 23701. The Organization has evaluated its current tax positions and has concluded that as of June 30, 2017, the Organization does not have any significant uncertain tax positions for which a reserve would be necessary.

IRS990/Desc0ADULT RESIDENTIAL PROGRAMSHealthRIGHT 360 has provided residential treatment programs for behavioral health disorders since 1969. Persons served have a substance abuse disorder, and many experience mental health issues as well. Residential programs are organized and staffed to ensure the availability of psychosocial services, 24 hours a day, seven days a week. These services include assessment, case management, counseling, and support groups as well as housing and vocational counseling among others. HealthRIGHT 360 has residential program sites in San Francisco, San Mateo, Santa Clara and Los Angeles County. In addition, residential care is designed as a Dual Diagnosis Capable environment, so that persons with mental health issues may receive integrated, appropriate services.
