Governance Explanations

Two current trustees are Members of the Board of Directors of Exchange Bank. The third trustee formerly was a Member of the Board of Directors of Exchange Bank. The trust owns 50.44% of the common stock of Exchange Bank.

After it's prepared by the Trust's outside accountants, the Form 990 is reviewed by an independent outside attorney. After such review, the Form 990 is provided to the Board of Trustees for their review and final approval.

Form 990, Part VI, Section B, Line 12C

The Trust is subject to supervision by the Superior Court of California in and for the County of Sonoma. On an annual basis, the Superior Court reviews the actions of the Trustees. The Trustees have unanimously agreed to forego any trustee fees for the years 2008 through 2024. The Court also approves the payment of attorney, accountant, and certain administrative fees.

The compensation of the Trustees is subject to approval by the Superior Court of Sonoma County, California. The Court also approves the payment of attorney, accountant and certain administrative fees. The Trustees unanimously agreed to forego any trustee fees for 2008 through 2024.

The financial statements and other documents are available upon request. As noted earlier, the financial activity of the Trust is annually submitted to the court for approval. The 2023 activity was approved by the court in 2025, and the 2024 activity is set for an approval hearing by the court.

Financial Statement Notes

Part V, Line 4: Intended uses of the endowment fund.

The Trust was established to be operated exclusively for the benefit of the Santa Rosa Junior College District and the City of Santa Rosa for the benefit of Doyle Park. After payment of expenses and an annual $2,000 distribution to the City of Santa Rosa for Doyle Park, the balance of the income is distributed to the Santa Rosa Junior College District for student scholarships.

The Trustees keep the SRJC representatives fully informed of the affairs of the Trust and, at the same time, allow SRJC to have a significant voice in the Trusts investment policies and in directing the use of the Trust's income. The Trustees design their activities in response to SRJC's needs and requests. For example, a substantial part of the Trustee's activities include the extensive outreach program conducted by the Trustees on behalf of SRJC. The Trustees and SRJC work closely together to ensure that the outreach program adheres to SRJC's branding and messaging standards and that delivery is made through media acceptable to SRJC. Moreover, the Trustees have a historic relationship with SRJC and the City of Santa Rosa which dates from the Trust's formation in 1949.
IRS990ScheduleA/Form990ScheduleAPartVIGrp/ExplanationTxt2The Doyle Trust qualifies as a Functionally Integrated Type III Supporting Organization (SO3) under Treasury Regulation 1.509(a)-4(i)(4)(iv) issued in October 2023. The Trust also qualified as a SO3 under the interim authority set forth in IRS Notice 2014-4 regarding the governmental entity exception and Reg 118867-10 posted on the Federal Register on February 19, 2016. Both of the Trusts beneficiaries, the Santa Rosa Junior College (SRJC) and the City of Santa Rosa, are governmental entities, and both are located in Sonoma County, California. The Trust provisions direct the distribution of up to $2,000 to the City of Santa Rosa and the balance of its income to SRJC for the provision of scholarships. The funds provided to the City of Santa Rosa are required to be used to maintain Doyle Park, which is an essential governmental function of the City of Santa Rosa. A substantial part of the Trustees activities directly furthers the exempt purposes of SRJC. The Trustees, working in concert with their agent, The Engine is Red, conduct an expansive outreach program on behalf of SRJC that is designed to increase student enrollment now and in the future. The outreach program is designed to change the narrative so that SRJC is thought of as a school of first choice. The Trustees designed the program to inform the community of SRJCs vast array of programs that extend far beyond those for students entering from high school, including programs for current high school students to allow them to obtain advance college credit, vocational students (from nursing to welding, to carpentry, etc.), reentry students, and lifelong learners. The outreach program reaches students and parents of high school and younger children through a wide range of traditional and social media, ranging from bus ads to Meta, and through printed materials and videos. The Trustees goal is to increase public awareness of SRJC and the courses and financial aid it offers. The outreach program furthers the exempt purposes of SRJC by increasing enrollment now and in the future. Increased enrollment results in increased governmental funding for SRJC. The Trustees also host the SRJC annual six-hour conference for high school counselors and the annual high school partners breakfast at which they participate by explaining the Doyle Scholarships which forms part of the financial aid available at SRJC. The Trustees annually participate in the graduation and awards ceremonies for high schools within the SRJC District, they initiated and administer the separate Doyle Awards program for students who lack the standing to qualify for regular Doyle Scholarships, they serve as a member of the SRJC Scholarship Committee, and they routinely participate in the major events at SRJC. The Trustees maintain a close and continuous working relationship with SRJC through their activities on behalf of SRJC which necessitate many contacts with SRJC throughout the year. The Trustees are responsive to SRJC because their activities are designed and implemented at the request or with the approval of SRJC. As another means of maintaining close coordination and collaboration with and being responsive to the Trusts beneficiaries, the Trustees annually prepare an Account and Report which they provide to SRJC and the City of Santa Rosa and file with the Superior Court of California for approval of their activities and expenditures. The Account and Report provide a comprehensive description of the activities of the Trustees.

For example, SRJC has a small outreach department, but does not have the resources, including personnel, marketing analysis research, tools, or budget, to conduct an expansive outreach program on behalf of SRJC. SRJC does not have the means to identify the appropriate markets and best means of delivery to those markets or to pay the costs associated with marketing to the community through traditional and social media platforms. If the Trustees did not attend the high school graduations and awards ceremonies, SRJC staff would have to attend if possible. If the Trustees did not host the annual six-hour conference for high school counselors and the annual high school partners breakfast, those events would be less attractive to participants and likely suffer lower attendance. If the Trustees did not speak at those events, the stretched SRJC staff would have to present that information. If the Trustees had not adopted and maintained the Doyle Awards Program, many at risk students would fall through the cracks and not be able to attend SRJC. Finally, the Trustees, with their vast business experience and knowledge of the community provide valuable insight to SRJC through their involvement with SRJC and the Scholarship Committee.
