Mission

SENS Research Foundation works to research, develop and promote comprehensive regenerative medicine solutions for the diseases and disabilities of aging. The research is governed by a strategic agenda to demonstrate the feasibility of rejuvenation biotechnologies, as a natural extension of regenerative medicine as applied to aging, and therefore drive broader involvement.

Form 990 Part VI Additional Organizational Information

Part VI Additional Organizational Information Organizational Merger and Continuity of Exemption Effective October 4, 2024, SENS Foundation, Inc. (EIN 94-3473864), a California nonprofit public benefit corporation recognized as tax-exempt under IRC 501(c)(3), completed a statutory merger with Lifespan Extension Advocacy Foundation Inc. (EIN 46-5328762), a New York not-for-profit corporation. The merger was approved by the boards of directors of both organizations pursuant to an Agreement and Plan of Merger executed in 2024. Upon completion of the merger, SENS Foundation, Inc. became the surviving corporation and changed its legal name to Lifespan Research Institution. The Internal Revenue Service has acknowledged this name change. The surviving organization continues to be recognized as exempt under IRC 501(c)(3) and classified as a public charity under 509(a)(1) and 170(b)(1)(A)(vi). A Certificate of Merger was filed with the California Secretary of State on October 4, 2024 (Certificate No. XXX-XX-XXXX), following non-objection clearance from the California Attorney General's Charitable Trusts Section dated April 22, 2024, in compliance with California Corporations Code 6010(b). The New York Attorney General's Charities Bureau was also notified consistent with New York Not-for-Profit Corporation Law. All assets, liabilities, and donor-restricted funds of Lifespan Extension Advocacy Foundation Inc. were transferred by operation of law to the surviving California organization. No assets were distributed to private individuals or non-charitable entities. All donor-restricted assets remain dedicated to their original exempt purposes. The surviving organization continues to conduct the charitable, scientific, and educational programs of both predecessor entities, including research, public education, and advocacy in regenerative medicine and longevity science. There have been no material changes in exempt purpose, mission, or operations. Lifespan Extension Advocacy Foundation Inc. (EIN 46-5328762) has filed or will file a final Form 990 marked "Final Return / Terminated and include Schedule N, Part I reporting the transfer of all assets to Lifespan Research Institution (EIN 94-3473864). This merger consolidated overlapping operations and governance under a single California-based 501(c)(3) entity to enhance program efficiency and strengthen the mission of advancing longevity science and regenerative research.

Form 990 Part XI, Line 8 Prior Period Adjustments

In December 2023, the Financial Accounting Standards Board issued ASU 2023-08, Intangibles Goodwill and Other (Crypto Assets), requiring eligible crypto assets to be measured at fair value. The Organization elected early adoption of this standard for the year ended December 31, 2024, resulting in a $23,134 increase in beginning net assets to reflect fair value as of the adoption date.

Part X, Line 2:

The Organization evaluates its uncertain tax positions and will recognize a loss contingency when it is probable that a liability has been incurred as of the date of the financial statements and the amount of the loss can be reasonably estimated. The amount recognized is subject to estimate and management judgment with respect to the likely outcome of each uncertain tax position. The amount that is ultimately sustained for an individual uncertain tax position or for all uncertain tax positions in the aggregate could differ from the amount recognized. As of December 31, 2024, management did not identify any uncertain tax positions.

IRS990/Desc0The research program is carried out both in the Organization's Mountain View facility by employees of the Organization and at some of the most prestigious institutions around the world. The program is comprised of both internal and external research programs. There are currently two (2) separate lines of internal research: Mitochondrial mutations and Immuno-senescence. The Mitochondrial mutations line of research has published work and contains four (4) subprojects, some of which involve collaborations with outside institutions. The Immuno-senescence line of research has also published work and contains nine (9) subprojects, also involving collaborations with outside institutions. There are currently two (2) external research projects ongoing at outside institutions. Funding for these programs continue to be prioritized for projects that meet our company mission and are currently being unaddressed in our intramural research program.

The Organization's student program, Education, is committed to educating students and the public. Education operates a summer internship program that places twelve (12) undergraduate students at the Research Center and outside institutions. It also continues a program to place nine (9) post-baccalaureate students at various institutions, including four (4) at the SRF Research Center. 2022 saw the expansion of SRF's Master's program in conjunction with Dominican University of California and the formation of a new graduate internship program to host graduate students from other institutions. SRF now has had one (1) Master's student graduate from the Master's program in 2023, has successfully hosted two (2) graduate interns in the past, and is currently hosting one (1) new graduate intern who joined in 2024.
