“The responsibility for the formal review of Form 990 lies with the Finance Committee of the Board of Directors of the organization with the full board accepting and/or rejecting the recommendation of the Finance Committee. With the support and input from the organization's Certified Public Accounting firm ("CPA"), management completes and reviews the Form 990 before formally presenting it to the Finance Committee for review. In collaboration with management, the Finance Committee directs relevant edits or changes to be made by the organization's CPA and does a final approval after all changes are finalized. After the Finance Committee approves the Form 990, they submit it to the full board to accept or reject the recommendation. The approval of the Form 990 is recorded in the Finance Committee meeting notes and the acceptance of the full Board is recorded in meeting notes.”

“The process for the CEO/President compensation is typically initiated at the time of hiring for the position. This involves participation of external organizations, such as a professional executive search firm that provides market analysis and data with recommendation for a salary range, in line with the going market rate. This salary recommendation is voted on by the full Board prior to the job offer.On-going salary and bonus reviews post initial offer are determined and voted by the Executive Committee of the Board.”

“In 2015, the organization conducted a third party, independent evaluation of compensation for all positions in the organization, including the CEO and top management positions. In collaboration with a sub-set of the Executive Committee and Finance Committee of the Board, a review of the assessment was completed and a compensation range was set and approved for performance increases in FY 2016. Additionally, the assessment identified the need for some one time salary adjustments in key positions to bring them into alignment with market level compensation bands that were also done in FY 2016. The increases and adjustments were approved by the Finance Committee as part of the budgeting process, approved by the full Board in 2015, and implemented in early 2016.Finally, the Board did an in-depth assessment of CEO compensation in late 2014 which benchmarked executive level compensation across organization of like size, serving similar populations. The results of this assessment led to a one-time salary adjustment for the CEO in early 2015 that better aligned with market rates. Finally, the Board and the CEO evaluated the compensation rates for a new addition to the organization, the Chief Operating Officer role, and set a comp band for the new position which was hired in early 2015.”
