“Prior to preparation of 990, financial statements were prepared, and reviewed by the board of directors. In addition, policies, program accomplishments, and governance issues, as discussed in the 990, are reviewed by the finance committee of the board of directors by email prior to the preparation of the 990. A draft 990 is circulated to the finance comittee of the board of directors and to the full board by email prior to the submission. All committee and board members then have an opportunity to review 990, ask questions, and give feedback on the 990 before it was submitted.”

“Every year a questionnaire is sent to all board members requesting disclosure of any interests that could give rise to conflicts. In addition, a copy of conflict of interest policy is distributed to board members along with the questionnaire. Board members ask to be recused if any issue is being discussed in which a conflict exists. Any breach of conflict of interest policy would be addressed by the board.”

“The salary for the executive director is set by the board of directors. In 2011, the board of directors gathered information about salaries of executive directors in similar organizations and set the salary of the executive director at a level no higher than those at similar organizations. Since that time, that salary has been increased after a thorough review and evaluation process of the executive director. Even after this increase, that salary was determined to be no higher than salaries for comparable positions in other organizations and remains on the low end of the scale for executive of similiarly sized non-profit agencies in the bay area.”
