Financial Statement Notes

Part X : FIN48 Footnote

The Foundation is exempt from Federal income taxes under Section 501(c)(3) of the Internal Revenue Code. The Foundation is also exempt from California franchise taxes under Section 23701(d) of the Revenue and Taxation Code and, therefore, has made no provision for Federal or California income taxes. Contributors, donors and grantors may obtain tax benefits. In addition, the Foundation has been determined by the Internal Revenue Service not to be a "private foundation" within the meaning of Section 509(a) of the Code.The Foundation adopted the recognition requirements for uncertain income tax positions as required by generally accepted accounting principles, with no cumulative effect adjustment required. Income tax benefits are recognized for income tax positions taken or expected to be taken in a tax return, only when it is determined that the income tax position will more-likely-than-not be sustained upon examination by taxing authorities. The Foundation has analyzed tax positions taken for filing with the Internal Revenue Service and all state jurisdictions where it operates. The Foundation believes that income tax filing positions will be sustained upon examination and does not anticipate any adjustments that would result in a material adverse effect on the Foundations financial condition, results of operations or cash flows. Accordingly, the Foundation has not recorded any reserves, or related accruals for interest and penalties for uncertain income tax positions at December 31, 2018. The Foundation is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.

IRS990/MissionDesc0The Milagro Foundation benefits underserved and vulnerable children around the world by making grants to community based tax-exempt organizations that work with children in the areas of education, health and the arts.Between October 1998 and April 2016, the Milagro Foundation has supported low income, underserved and underrepresented children in 36 states and 36 countries bygranting $6,719,213 to 362 agencies working with children and youth.Milagros education focus support agencies and organizations that are working toclose the achievement gap and provide college access and aspirations among youngpeople. Milagro evaluates long term projects that will lead to systemic changes,especially in impoverished communities. Through education we hope to help change oreliminate the cycle of poverty in Bay Area communities.In the areas of health, the foundation examines agencies that provide mental health,physical health, family support and addiction support to children around the SanFrancisco Bay

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Foundation is exempt from Federal income taxes under Section 501(c)(3) of the Internal Revenue Code. The Foundation is also exempt from California franchise taxes under Section 23701(d) of the Revenue and Taxation Code and, therefore, has made no provision for Federal or California income taxes. Contributors, donors and grantors may obtain tax benefits. In addition, the Foundation has been determined by the Internal Revenue Service not to be a "private foundation" within the meaning of Section 509(a) of the Code.The Foundation adopted the recognition requirements for uncertain income tax positions as required by generally accepted accounting principles, with no cumulative effect adjustment required. Income tax benefits are recognized for income tax positions taken or expected to be taken in a tax return, only when it is determined that the income tax position will more-likely-than-not be sustained upon examination by taxing authorities. The Foundation has analyzed tax positions taken for filing with the Internal Revenue Service and all state jurisdictions where it operates. The Foundation believes that income tax filing positions will be sustained upon examination and does not anticipate any adjustments that would result in a material adverse effect on the Foundations financial condition, results of operations or cash flows. Accordingly, the Foundation has not recorded any reserves, or related accruals for interest and penalties for uncertain income tax positions at December 31, 2018. The Foundation is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.

The executive director orprogram associate invites an organization to apply to the Milagro Foundation for agrant (using the Milagro Foundation management website).2. The application is sent to grantee via the Milagro Foundation management website:http://www.milagrofoundation.org/management. This website requires user name andpassword to login. Go to the Manage Grant Applicants to send an email with theapplication link.3. The executive director and/or program associate reviews application for accuracy,completeness. If the grantee is an international organization the terrorist website is checked to make sure the organization is not listed.http://en.wikipedia.org/wiki/U.S._State_Department_list_of_Foreign_Terrorist_Organizations.4. A site visit is later conducted to observe program and get to know theorganization's services.5. The Milagro Foundation Board members receive applications and final reports 30days or more prior to board meeting.6. Board meets about 3 times per year to review grantees and discuss other business.If the grant application is approved by board, grant amount is confirmed (usingminutes taken by foundation secretary). Board Minutes are kept in binder and onexecutive director and program associate computer files.7. A legal agreement letter between the grantee and the Milagro Foundation isgenerated by the program associate. The letter is sent to grantee for the review andsignature of the executive director or program director.8. The letter is signed and returned to Milagro Foundation. It is filed in granteefile. A check is written with the agreed grant amount. It is recorded in QuickBooks.Executive director signs check. A stub is attached to an office copy of the grantagreement letter. The check (or wire transfer) is then sent to grantee. All paperworkis kept together in file and/or on computer.
