Governance Explanations

Form 990, Part VI, Section A, Line 2

Board members Kathy Hull (Founder) and William Gisvold (Treasurer) are married.

Form 990, Part VI, Section B, Line 11B

Form 990 is prepared by an outside tax professional. The form is then reviewed by the organization's management. After a full review, the final version of the tax return is provided to all members of the organization's voting body. A representative of management authorizes the final form 990 which is then e-filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Members of the Board of Directors review all potential conflicts of interest periodically. Top management and all Board members are required to disclose potential conflicts and any related party affiliations. The organization seeks full transparency on all relationships. Any potential conflicts (in fact or appearance) are discussed openly and resolved in accordance with the organization's policies and procedures.

Form 990, Part VI, Section B, Line 15A

Members of the board of directors review the compensation of all high-level personnel periodically in accordance with IRS rules and regulations. Efforts are made to secure compensation data from industry sources in order to determine competitiveness and appropriateness of salaries. Every effort is made to ensure that the process is thorough and transparent in accordance with IRS guidelines and the organization's policies and procedures.

Form 990, Part VI, Section B, Line 15B

Compensation of other personnel and highly compensated employees is reviewed periodically by members of management. Efforts are made to secure compensation data from industry sources in order to determine competitiveness and appropriateness of salaries and all related benefits. All decisions are then documented in personnel files.

Form 990, Part VI, Section C, Line 18

Tax returns are available for download from several websites and by request from the organization's office in San Leandro, California.

Form 990, Part VI, Section C, Line 19

All of the organization's governing documents, financial statements, and other legal filings are maintained in a secure environment and held available for inspection by tax authorities and the general public. Tax returns are posted annually to our website and to www.guidestar.org (where they are available for viewing as electronic copies) and are also available by request from the organization's office.

Form 990, Part XII, Line 2C

Under the California Nonprofit Integrity Act, an exempt organization with annual revenue of $2 million or more is required to have an Audit Committee to select an audit Firm, review the audit, and approve the audit of its annual financial statements. The audited financial statements are prepared by a qualified and licensed independent audit firm. The audit report is reviewed and approved by the organization's management and the Board of Directors.

Organization'S Mission (continued)

Financial Statement Notes

Part V, Line 4: Intended uses of the endowment fund.

Endowment Funds are comprised of temporarily restricted and permanently restricted donor funds (net assets with donor restrictions). The component of permanently restricted funds consist of net Assets With Donor Restrictions - Perpetual in Nature and amounted to $10,000 at June 30, 2025. The portion of the endowment funds classified as temporarily restricted net assets represent donor contributions which are intended to be apportioned in accordance with policies promulgated by the Board of Directors. The permanently restricted funds of $10,000 are subject to the original gift requirement that the principal balance be maintained in perpetuity.

Part X : FIN48 Footnote

Income TaxesFinancial statement presentation follows the recommendations of ASC 740, Income Taxes. Under ASC 740, George Mark Childrens Fund is required to report information regarding its exposure to various tax positions taken by the House and requires a two-step process that separates recognition from measurement. The first step is determining whether a tax position has met the recognition threshold; the second step is measuring a tax position that meets the recognition threshold. Management believes that the House has adequately evaluated its current tax positions and has concluded that as of June 30, 2025, George Mark Childrens Fund does not have any uncertain tax positions for which a reserve or an accrual for a tax liability would be necessary.George Mark Childrens Fund has received notification from the Internal Revenue Service and the State of California that it qualifies for tax-exempt status under Section 501(c)(3) of the Internal Revenue Code and Section 23701d of the California Revenue and Taxation Code. The exemptions are subject to periodic review by the federal and state taxing authorities and management is confident that George Mark Childrens Fund continues to satisfy all federal and state statutes in order to qualify for continued tax exemption status. George Mark Childrens Fund may periodically receive unrelated business income requiring the House to file separate tax returns under federal and state statutes. Under such conditions, George Mark Childrens Fund will calculate, accrue and remit the applicable taxes.

IRS990/Desc0We bridge the gap between hospital and home, offering safe, top-notch medical care yet in the comfort and warmth of a home-like setting for patients who do not need the resources of a full childrens hospital. We offer three services: transitional care for children and young adults who have been in an acute care hospital setting and still need some medical care, but not of an acute nature, before they transition to being cared for at home; end of life care, where a patients family can visit and sometimes stay in a family suite and surround their child or young adult with needed love and support; and respite care for children and young adults, usually with developmental disabilities who have been referred by State run Regional Medical Centers where we provide high quality medical care and appropriate activities while providing parents and families with a short break from their nonstop care at home.
