Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm in conjunction with the organization's finance and accounting department. A draft form 990 is then reviewed by the controller and cfo; adjustments are made, as necessary. The complete form 990 is then provided to all members of the governing body prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

All officers, directors, and key employees are required to disclose/update annually information regarding their interests and those of their family members that could give rise to conflicts of interest. For disclosures of interests from board members which could give rise to conflicts, the board executive committee determines whether a conflict of interest exists. If a conflict is determined to exist, the full board shall vote to authorize or reject the transaction or take any other action deemed necessary to address the conflict and protect playworks' best interests. A board member shall not participate in any discussion or debate of the board of directors (or of any committee or subcommittee thereof), in which the subject of discussion is a contract, transaction, or situation in which he or she may have a perceived or actual conflict of interest. However, the interested board member may be present to provide clarifying information in such a discussion or debate unless objected to by any present board member. For disclosures of interests from staff members, disinterested management staff members determine whether a conflict of interest exists and, if so, take whatever action is deemed necessary to address the conflict and protect playworks' best interests. A staff member shall not participate in any discussion or debate in which the subject of discussion is a contract, transaction, or situation in which that individual may have a perceived or actual conflict of interest. However, the staff member may be present may be present to provide clarifying information in such a discussion or debate unless objected to by any person present.

Salaries for all officers and key employees are reviewed regularly by the board of directors, with the goal of setting competitive compensation for all staff. Salary surveys and publicly available compensation information for similarly situated employees are utilized to benchmark competitive compensation for each of the officers and key employees.

Financial Statement Notes

PART X, LINE 2:

Playworks follows the guidelines of the financial accounting standards board (fasb) asc topic 740 for accounting for uncertainty in income taxes. As of june 30, 2019 and 2018, management evaluated playworks' tax positions and concluded that playworks had maintained its tax exempt status and has taken no uncertain tax positions that require adjustment to the financial statements. Therefore, no provision or liability for income taxes has been included in the financial statements.

PLAYWORKS CREATED A PLACE ON THE PLAYGROUND FOR OVER 341,930 CHILDREN TO BE ACTIVE, FEEL INCLUDED, AND BUILD VALUABLE SOCIAL AND EMOTIONAL SKILLS.
