Any director or officer that has a financial interest, directly or indirectly, must disclose it before a consideration or vote of the transaction is made by the Board of Directors (BOD). The person that has the conflict is responsible for recusing themselves from the discussion and vote. The BOD minutes reflect such discussions. Each year the directors and officers sign a statement to denote if conflicts existed during the year. If such a conflict existed, the director or officer discloses the nature of the conflict. The organization also does periodic reviews to ensure compensation is reasonable and goods and services received are arms-length and conform with internal policies.

Financial Statement Notes

Part X, Line 2:

Bridge is a not-for-profit corporation pursuant to the internal revenue code section 501(c)(3) and related california code sections and, accordingly, is exempt from federal and state income taxes on related business income. Bid, bpi, phc, bcdi subsidiary cde iii, llc and bcdi subsidiary cde iv, llc are the only affiliates which are not tax-exempt. Deferred income taxes do not arise from the operations of these entities in a material amount. The income or loss from the partnerships is reported by the partners on their income tax returns. No income tax provision has been included in the consolidated financial statements for the single member llcs which are generally considered disregarded entities. The income and loss of the llcs is included in the tax returns of their respective sole members. Only the annual california limited liability company minimum tax and the annual fee appear as expense in the consolidated financial statements. Bridge and affiliates believe that they have appropriate support for any tax positions taken, and as such, do not have any uncertain tax positions that are material to the consolidated financial statements. Bridge and affiliates' federal and state income tax returns for the years 2012 through 2015 are subject to examination by regulatory agencies, generally for three years and four years after they were filed for federal and state, respectively. While no income tax returns are currently being examined by the internal revenue service, tax years after 2012 remain open.

The person that has the conflict is responsible for recusing themselves from the discussion and vote. The BOD minutes reflect such discussions. Each year the directors and officers sign a statement to denote if conflicts existed during the year. If such a conflict existed, the director or officer discloses the nature of the conflict. The organization also does periodic reviews to ensure compensation is reasonable and goods and services received are arms-length and conform with internal policies.
