Governance Explanations

Form 990, Page 6, Part VI, Line 6

The access fund is a membership based organization but the members do not elect or appoint the board of directors.

Form 990, Page 6, Part VI, Line 11B

Once the preparation of the form 990 is complete, it is reviewed by board members.

Form 990, Page 6, Part VI, Line 12C

The policy is consistently monitored through review and observation by the board of directors. In the event an issue is before the board and a director has an unavoidable conflict of interest regarding that issue, the director shall indicate that a conflict exists, and excuse herself or himself from both the deliberations and the vote on the issue.

Form 990, Page 6, Part VI, Line 15A

There is a compensation committee on the board that determines the executive director's salary. The compensation committee looks at the colorado nonprofit salary survey and the 990s for comparable organizations when determining the compensation for the executive director and other staff.

Form 990, Page 6, Part VI, Line 15B

Executive director determines all other staff members' salary based on board approved budget.
