On september 16, 2019, the organization made an unrestricted contribution of $331,180 to mission housing development corporation, a related california nonprofit public benefit corporation, in general support to be used for mhdc's exempt purpose of providing affordable housing to low-income families, the handicapped and elderly.

Form 990, Part III, Line 3: Ceased Conducting or Significant Changes To Services

On august 19, 2019, the organization sold the land, building and improvements, constituting the low-income housing project it was operating to mhdc abel gonzalez, lp. The sale of the project to the limited partnership was made based on the fair market value determined by an independent appraisal of the property. The sale was made for the purpose of obtaining funds from an investor limited partner to fund rehabilitation of the property. The organization carried back a large seller note receivable from the limited partnership which is to be paid solely from future surplus cash generated by the limited partnership's operations of the low-income housing project, the limited partner's second installment of capital contribution, or from sale or refinancing proceeds received by the limited partnership. After rehabilitation of the property, the limited partnership will continue to be operated as a low-income housing project.

Part X : FIN48 Footnote

Mission housing development corporation (mhdc) and other not-for-profit corporations are exempt from federal income taxation under internal revenue code section 501(c)(3) and from california franchise taxation under the revenue and taxation code section 23701(d). The income or loss from the combined partnerships is reported by the partners on their income tax returns and, accordingly, no provision for income taxes has been made in the financial statements.mhdc and affiliates believe that they have appropriate support for any tax positions taken, and as such, do not have any uncertain tax positions that are material to the financial statements. The federal and state income tax and information returns for the years ending december 31, 2018, 2017, 2016 and 2015 are subject to examination by the regulatory agencies, generally for three years and four years after they were filed for federal and state, respectively.

THE ORGANIZATION CARRIED BACK A LARGE SELLER NOTE RECEIVABLE FROM THE LIMITED PARTNERSHIP WHICH IS TO BE PAID SOLELY FROM FUTURE SURPLUS CASH GENERATED BY THE LIMITED PARTNERSHIP'S OPERATIONS OF THE LOW-INCOME HOUSING PROJECT, THE LIMITED PARTNER'S SECOND INSTALLMENT OF CAPITAL CONTRIBUTION, OR FROM SALE OR REFINANCING PROCEEDS RECEIVED BY THE LIMITED PARTNERSHIP. AFTER REHABILITATION OF THE PROPERTY, THE LIMITED PARTNERSHIP WILL CONTINUE TO BE OPERATED AS A LOW-INCOME HOUSING PROJECT.
