Each director, principal officer and member of a committee with governing board or delegated powers shall sign a statement attesting to the fact that he/she: - has received a copy of the conflict of interest policy. - has read and understands the policy. - has agreed to comply with the policy. - understands the organization is a non-profit corporation and in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with an actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board-delegated powers considering the proposed transaction or arrangement. No transaction of the organization shall be voidable by reason of the fact that any director or officer of the organization has an interest in the concern with which such transaction is entered into, provided: a) the interest of such officer or director is fully disclosed to the board of directors. B) such transaction is duly approved by the board of directors not so interested or connected as being in the best interests of the organization. C) payments to the interested officer or director are reasonable and do not exceed fair market value, the governing board or committee shall determine whether the organization can obtain, with reasonable efforts, a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. D) no interested officer or director may vote or lobby on the matter or be counted in determining the existence of a quorum at the meeting at which such transaction may be authorized. The minutes of meetings at which such votes are taken shall record such disclosure, abstention, and rationale for approval.

The board of directors met to review executive compensation comparability data compiled by an independent consultant to determine the compensation packages for the chief executive officer and the president with the meeting contemporaneously documented. Financial Statement Notes

PART X, LINE 2:

The company is a nonprofit corporation exempt from federal income taxes under internal revenue code section 501(c)(4) and from state of california income taxes, except on unrelated business income. Therefore, these consolidated financial statements contain no provision for such taxes. Informational returns are filed annually with federal and state taxing authorities. The company is not aware of any transactions that would affect its tax-exempt status. The company had no unrecognized tax benefits as of september 30, 2019 and 2018, respectively. The company believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the consolidated financial statements. For the years ended september 30, 2019 and 2018, there were no tax, interest or penalties recorded in the statements of activities and changes in net assets.
