The organization's bylaws were updated during the period after the prior 990 was filed. Bylaws were updated to include term limitations to the board/officers and define eligibility of board members as noted below: - trustees shall be elected by the council and serve on the board for a maximum of three years in their term. - prospective trustees shall generally have served at least a one three-year term on the council and have demonstrated qualities of leadership and revelant knowledge of both yosemite national park and yosemite conservancy. - the finance committee now will consist of at least six individuals. - there is now a strategic projects committee that shall be responsible for working collaboratively with yosemite national park to align priorities of the two institutions through a mutually beneficial public/private structure. - the marketing and communications committee is now responsible for advising the board of trustees with respect to the foundation's marketing activities and public communication. - the board chair now serves a three-year term. Other officers' terms are no longer specifically limited by the bylaws.

The final draft of the form 990 is reviewed and approval recommended by the audit committee. It is then sent with the audit committee recommendation to the board of trustees. The final form 990 is filed with the irs after the board of trustees review.

Yosemite conservancy has all new members of the board of trustees sign the conflict of interest policy during their orientation to the board. All current members of the board of trustees sign the conflict of interest policy annually during the december board meeting. Any board of trustee member disclosing a conflict of interest will be reviewed by the president and chairman and acted upon appropriately. When addressing the conflict of interest, an interested person may make a presentation to the board or committee, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, a majority vote of the disinterested directors determines whether the transaction is in the organization's best interest.

Financial Statement Notes

PART V, LINE 4:

The lesher fund supports search and rescue. The kornei fund supports trail repair and wilderness restoration. The crane fund can be used at the discretion of the conservancy to support projects or operations. The conservancy has a policy of appropriating for distribution each year an amount of no more than 4% of its endowment fund's average fair value over the prior 12 quarters through the calendar year-end. The crane endowment appropriation for distribution is determined by the endowment's trustee and averages 3% of its endowment fund's year-end fair value.

PART X, LINE 2:

The conservancy is a not-for-profit organization, exempt from income tax under section 501(c)(3) of the u.s. Internal revenue code and the applicable code section of the state of california revenue and taxation code. The conservancy recognizes the financial statement benefit of an uncertain tax position only after considering the probability that a tax authority would sustain the position in an examination. For tax positions meeting a "more-likely-than-not" threshold, the amount recognized in the financial statements is the benefit expected to be realized upon settlement with the tax authority. For tax positions not meeting the threshold, no financial statement benefit is recognized. The conservancy has had no uncertain tax positons as of december 31, 2021 and 2020. The conservancy's tax returns are generally subject to examination by federal and state taxing authorities for three and four years respectively.
