Line 6 explanation - the members of this corporation shall be corporations, partnerships, and other business entities which: a) pay annual dues b)adopt and publish a policy to promote the purchase of goods and services from minority-owned firms; and c) implement the policy that is adopted as a recognized management function by appropriate rules and procedures; and designate a principal representative and one or more alternative representatives to act for the member in connection with affairs of the corporation.

Form 990, Part VI, Section B, Line 11B

Form 990 is initially reviewed by president, vice president of operations and treasurer. Next step and within 2-3 days, form 990 is sent to the finance committee for review and feedback and then to executive committee members which include the council chair, vice-chair, immediate past chair, secretary, treasurer, certification chair and minority business enterprise input committee (mbeic) chair.

Form 990, Part VI, Section B, Line 12C

All employees are expected to avoid situations that create an actual or potential conflict between the employee's personal interests and the interests of wrmsdc. Employees who, because of other work or activities, cannot make this commitment may be asked to end their employment with wrmsdc. A conflict of interest exists when an employee's loyalties or actions are divided between wrmsdc and a competitor, supplier, or customer. Employees who are unsure whether a certain transaction, activity, or relationship constitutes a conflict of interest should discuss the situation with their supervisor or a member of management for clarification. Any exceptions to this policy must be approved in writing by the vice president of operations or president/ceo. Some examples of the more common conflicts that should be avoided by all employees include, but are not limited to: 1. Accepting personal gifts or entertainment from competitors, customers, suppliers, or potential suppliers; 2. Working for a competitor, supplier, or customer while employed by wrmsdc; 3. Engaging in self?employment in competition with wrmsdc; 4. Using proprietary or confidential company information (as defined earlier) for personal gain or to wrmsdc's detriment; 5. Having a direct or indirect financial interest in or relationship with a competitor, customer, or supplier; 6. Acquiring any interest in property or assets of any kind for the purpose of selling or leasing it to wrmsdc; and 7. Committing wrmsdc to give its financial or other support to any outside activity or organization without appropriate written authorization. Failure to adhere to this policy, including failure to disclose any conflict or seek an exception to this policy, may result in disciplinary action, up to and including termination.

Wrmsdc believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements.
