Form 990, Part VI, Section B, Line 12C

If the governing board and/or the executive director has a reasonable cause to believe that a hively board member or employee has failed to disclose actual or possible conflicts of interest, they shall inform the board or employee of the basis of such belief and afford that person (or persons) an opportunity to explain the alleged failure to disclose the actual or possible conflict of interest. If, after hearing the response and after making further investigations as warranted by circumstances, the governing board or the executive director determines that the board member or employee has failed to disclose an actual or possible conflict of interest, they or she shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15

The board of directors used a consultant and a non-profit salary comparison survey to determine the compensation of the executive director. Annually, in an executive session that is closed to employees, the governing board discusses and determines the compensation of the executive director for the coming fiscal year. The executive director, in determining compensation levels for other officers and key employees of the organization, consults the management center's annual non-profit salary survey as well as the northern california subsidiary agencies' salary and benefits survey.

Financial Statement Notes

PART X, LINE 2:

The agency is exempt from taxation under internal revenue code section 501(c)(3) and california revenue and taxation code section 23701(d). Continuance of such exemption is subject to compliance with regulations and review of the activities by taxing authorities. The agency is not aware of any transactions that would affect its tax-exempt status. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by the agency in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. The agency's tax returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed. The agency follows the accounting guidance for uncertain tax positions. Management determined that there are no uncertain positions as of june 30, 2024.

HIVELY ALSO PROVIDES GENERAL ASSISTANCE (GA) EVALUATIONS AT TWO ALAMEDA COUNTY LOCATIONS - EASTMONT AND SAN PABLO. WE ALSO OPERATE AN OAKLAND & PLEASANTON FAMILY RESOURCE CENTER (FRC), BOTH OF WHICH PROVIDE GENTLY USED CHILDREN'S CLOTHING, HYGIENE PRODUCTS, NONPERISHABLE FOOD, AND OTHER ITEMS, AT NO COST, TO PEOPLE IN NEED. THROUGH BOTH OF OUR FRCS WE OPERATE A DIAPER PANTRY THAT DISTRIBUTES 13,000 DIAPERS PER YEAR TO UNDERSERVED FAMILIES IN ALAMEDA COUNTY. HIVELY ALSO PROVIDES WRAPAROUND SERVICES TO ENROLLED FAMILIES AND COMMUNITY MEMBERS, ENSURING THAT FAMILIES HAVE THEIR NEEDS TAKEN CARE OF, MAKING OUR FRCS A ONE-STOP SHOP FOR PARENTS, CHILDREN, AND THE COMMUNITY.
