The mission of the napa county land trust is to preserve the character of napa county by permanently protecting land.

Land trust of napa county is dedicated to preserving the character of (continued, schedule o) napa county by permanently protecting land. We do so by protecting agricultural lands, biodiversity, scenic vistas, wildlife corridors, and open space now and for future generations.

Governance Explanations

Form 990, Part VI, Section A, Line 1

The board has made significant delegation of authority for activities between and in preparation for board meetings to its executive committee for administrative implementation and facilitation of board directions. The committee has a coordinating function in the ltnc, and it is empowered by the board to act between board meetings with the full power of the board when the circumstances require prompt action before the next scheduled board meeting, excepting only approval of land transactions and the power to change policy stated in this policy manual and the by-laws. When the executive committee acts on any such matter, it shall be placed on the board agenda as a regular action item or on the consent calendar as appropriate. The executive committee shall explain the circumstances requiring decision on the matter before the board meeting in its report on the consent calendar or when the matter is discussed at the board meeting.

Form 990, Part VI, Section A, Line 4

The organization revised and updated its bylaws as follows: article vi, section 1: powers of trustees - updated and defined the duties and authorities of the board members. Article vi, section 2: number, election, and term of trustees - changes the minimum number of trustees from one to three members; trustees shall be elected to the board at any board meeting at which a quorum is present by a vote of a majority of directors then in office. Any trustee may be selected or elected to serve a second three year term. Upon completion of a second three-year term, a trustee may not serve on the board until at least one full year has elapsed. The board shall elect a board chair, vice-chair, secretary, and treasurer. One person may hold more than one office, except that the same person may not hold the office of both board chair and secretary or treasurer. Each officer shall hold a term of one year, or until a successor is elected. Article vii, section 1: officers - changes officer names from president and vice-president to board chair and vice-chair; establishes and defines the ceo position as the person responsible for the day to day activities of the corporation, but not a member of the board of trustees. Article vii, section 6: duties of secretary - the secretary may designate a staff member to perform certain duties. Article vii, section 7: duties of treasurer - the treasurer shall serve as chair of the finance and investment committee. Article vii, section 8: duties of ceo - establishes and defines the role of the ceo, and includes that they shall also be an officer of the corporation and shall have such powers and duties as may be prescribed from time to time by the board of trustees.

Form 990, Part VI, Section B, Line 11B

A draft of the form 990 is sent to the organization from the certified public accountant preparing the returns. The organization distributes the draft to its audit committee and certain management personnel for their review. Adequate time is given for their review. Audit committee and management then provide comments and make inquiries. When all comments are addressed with the certified public accountant, the form 990 is submitted for filing. The full board is provided a copy of the form 990 within 30 days of submission.

Form 990, Part VI, Section B, Line 12C

Board members are required to complete a conflict of interest questionnaire annually. Any identified conflicts of interest are reviewed by the ceo and board of directors. Any conflicts that come to the attention of the board at any time during regularly scheduled board meetings are also addressed at such meetings.

Form 990, Part VI, Section B, Line 15

Compensation process for ceo: the chairman and treasurer draft a performance review which is presented and discussed at a meeting of the executive committee. The committee is provided several salary surveys by staff to help aid and inform the decision. The committee then approves salary action as appropriate for the ceo at that meeting. This process was last undertaken in 2018. Compensation process for other officers or key employees: all salary increases are approved by the board as part of the budget process each year. The ceo is authorized to make final salary decisions based upon the board approved budget. The ceo uses comparable salary data, available budget and performance review to determine annual increase and merit increases. This process was last undertaken in 2018.

There have not been any changes during the tax year to the organization's oversight process or selection process related to selection of an independent accountant.

Financial Statement Notes

PART II, LINE 5:

Ltnc monitors every conservation easement (c/e) property at least annually, or more frequently as necessary. The program builds on developing strong landowner relationships to foster open dialogue and communication regarding the terms of the c/e. Ltnc is prepared to enforce and defend the terms of each c/e from all types of violations and communicates this to the donating landowner as well as successor landowners. Such stipulations are clearly denoted in our c/e language and in line with existing monitoring and enforcement policies for the organization.

PART II, LINE 9:

Conservation easements are not recognized on the balance sheet or on the income statement.

PART V, LINE 4:

All endowment funds are permanently restricted and income from such funds are used in accordance with donor stipulations.

PART X, LINE 2:

The land trust is exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code and section 23701(d) of the california revenue and taxation code. Accordingly, no provision for federal or state income taxes have been recorded. The land trust files u.s. Federal, and u.s. State returns as applicable. The land trust's informational returns are subject to examination by the internal revenue service and the california franchise tax board, generally for three and four years, respectively, after they are filed. The land trust has evaluated its current tax positions and have concluded that as of december 31, 2018, the land trust does not have any uncertain tax positions for which a reserve would be necessary.

IRS990/ProgSrvcAccomActy3Grp/Desc0COMMUNITY, COMMUNICATIONS AND CAPACITY BUILDING: LTNC OFFERS A ROBUST HIKING PROGRAM AS A BENEFIT TO THE COMMUNITY AND ENGAGES HUNDREDS OF PEOPLE ANNUALLY THROUGH OUR TOPIC SPECIFIC HIKES, FIELD TRIPS AND OUTINGS. OUR PROGRAM CONNECTS PEOPLE WITH THE LAND LTNC PROTECTS AND HIGHLIGHTS THE IMPORTANCE OF LAND CONSERVATION. WE PARTICIPATE IN COMMUNITY OUTREACH EVENTS TO FURTHER EDUCATE THE PUBLIC OF OUR MISSION AND OFFER A VARIETY OF VOLUNTEER OPPORTUNITIES BOTH IN THE FIELD AND IN THE OFFICE. OUR COMMUNICATIONS STRATEGY AIMS TO REACH NEW AND INFORM EXISTING SUPPORTERS AND INCLUDES PRINT MATERIALS, WEBSITE, SOCIAL MEDIA, ELECTRONIC NEWSLETTERS, OUTREACH ACTIVITIES, AND EVENTS. OUR COMMUNICATIONS GOAL IS TO CULTIVATE NEW SUPPORTERS AND FURTHER THE MISSION OF THE ORGANIZATION BY RAISING FUNDS, FRIENDS AND AWARENESS.
