Semi members consist of corporations, companies, firms, or organizations, or departments or subdivisions thereof, whose interest or corporate objective is the field of semiconductor equipment, materials, or services; provided that such entities shall not become voting members except upon payment of such initiation fees as may be determined by the board of directors.

Burr pilger mayer, inc.and semi staff work together to gather the required tax information necessary to complete the tax returns. The initial draft return is reviewed by burr pilger mayer and semi finance staff; items are discussed and reviewed. Recommended changes are reflected in the return and a draft tax return is prepared. The finance committee receives the final version of the tax return for review prior to filing. The board has delegated monitoring and review of financial matters to the finance committee.

Annually, semi sends the code of conduct policy, which includes the conflict of interest policy, to all employees. All employees are required to review the policy and certify that they agree to abide by it. Semi human resources audits the responses to ensure that all employees respond.

In conjunction with the international board of directors meeting each year in tokyo, japan, the board compensation committee meets with the president and ceo, cfo and senior director, global human resources. Based upon salary survey information and the use of an independent compensation consultant, they present recommended merit increases on a regional basis for approval by the board compensation committee. Once approved, the semi executive and staff merit increases are administered by functional leadership through the performance management system with final approval by the president and ceo. The ceo's annual compensation adjustment is discussed privately with the board compensation committee, the cfo and the senior director, global human resources. A review of the ceo's goals and accomplishments is accompanied by a recommended compensation adjustment based on independent salary surveys. The board compensation committee then meets in closed session to review this information and determine an appropriate performance rating and the accompanying bonus and merit increase.

PART X, LINE 2:

Although semi has been recognized by the irs and ftb as exempt from u.s. Federal and california income and franchise taxes on activities related to its exempt purpose, it is not exempt from income taxes in its foreign jurisdictions or on its unrelated business income. Income taxes are accounted for under the asset and liability method. Deferred tax assets and liabilities are recognized for the future tax consequences attributable to differences between the financial statement carrying amounts of existing assets and liabilities and the respective tax bases and operating loss and tax credit carry-forwards. Deferred tax assets and liabilities are measured using enacted tax rates expected to apply to taxable income in the years in which those temporary differences are expected to be reversed or settled. The effect on the deferred tax assets and liabilities of a change in tax rates is recognized in income in the period that includes the enactment date. A valuation allowance is recorded to reduce the carrying amounts of deferred tax assets unless it is more likely than not that those assets will be realized. In evaluating uncertain tax positions, the group recognizes the financial statement benefit of a tax position only after determining that the relevant tax authority would more likely than not sustain the position following an audit. For tax positions meeting the more-likely-than-not threshold, the amount recognized in the financial statements is the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement with the relevant tax authority. The amount that is ultimately sustained for an individual uncertain tax position or for all uncertain tax positions in the aggregate could differ from the amount recognized. The group evaluated all tax positions for which the statute of limitations remained open and determined the impact on the financial statements for any years still subject to a potential tax audit. Any interest and penalties are classified as general and administrative expense in the consolidated statements of activities and changes in net assets. Semi is a not-for-profit trade association recognized by the irs and ftb as exempt from federal and state income taxes in the united states. However, certain activities in other countries, such as trade shows, are subject to foreign income taxes on income generated in their respective jurisdictions. Accordingly, foreign income taxes are included in general and administrative expenses for international offices in the accompanying consolidated statements of activities and changes in net assets. Net income tax expense (benefit) was as follows for the years ended december 31 (in thousands): 2014 2013 current $ 320 $ 240 deferred $ 40 $ - total $ 360 $ 240 net deferred tax (liabilities) assets at december 31, 2014 and 2013 approximated $(10,000) and $40,000, respectively, and consist principally of deferred revenues and deferred expenses related to exhibitions, accruals, and depreciation. No valuation allowance was recorded at december 31, 2014 and 2013, as the group concluded that all of the deferred tax assets will be realized in future years. Net deferred assets are recorded as deferred expenses and other current assets on the statement of financial position and any change is recorded as general and administrative expenses for international offices on the statement of activities and changes in net assets. The group's total gross unrecognized tax benefits are classified as non-current liabilities in the consolidated statements of financial position. As of december 31, 2014 and 2013, the total amount of gross unrecognized tax benefits was $838,108 and $824,102, respectively, which relates entirely to foreign taxes.
