“The audit committee will review the form 990 when it is filed and a copy will be sent to all board members via email. Questions from the board or committee will be responded to via email or in meetings.”

“Conflict of interest compliance is reviewed annually at a board meeting. Board members and employees with substantial influence over avenidas are required to sign the organization's "conflict of interest and disclosure statement" annually. Any disclosed events, transactions, arrangements or other situations deemed to be potentially a conflict of interest are discussed with the full board and voted on as necessary. Determining whether a conflict of interest exists: the president & ceo determines a conflict of interest with regard to an employee without substantial influence over avenidas; the board determines if a conflict of interest exists with regard to the president & ceo or an employee with substantial influence over avenidas; the remaining board members determine if a conflict of interest exists with regard to a board member. With regard to an employee without substantial influence over avenidas, the president & ceo shall determine whether a conflict of interest exists. With regard to the president & ceo, or an employee with substantial influence over avenidas, the board shall determine if a conflict of interest exists. If there is a question as to whether an employee has substantial influence over avenidas, the president & ceo shall present this issue to the board of directors, and the board shall resolve the matter. After an affiliation disclosure by a board member, the board member shall leave the meeting while the implications of the affiliation are considered and voted upon. The remaining board members shall determine if a conflict of interest exists.”

“The executive committee of the board reviews compensation as compared with published market data of comparable nonprofits in the organization's geographic area. The process for both positions is done annually and was last undertaken in july 2016.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request for the same period of time set forth in sec. 6104(d).”

“In march 2014, avenidas launched a campaign to raise funds for a project (capital project) intended to expand and renovate the historic building in which avenidas is housed, with the goal of improving and increasing the services offered. Since inception, the capital project has received the following as public support: sources: campaign-to-date cash contributions and pledge payments received $10,843,898 pledges outstanding 6,105,341 less pledge discounts (301,708) total public support $16,647,531 the board has also made the following designations in support of the capital project: sources: campaign-to-date designated investment reserves $ 980,000 unrestricted bequests 1,023,400 less amounts transferred (1,026,070) board designated amounts available for capital project $ 977,330 the current estimate for the total capital project is $19,600,000. Since inception, $11,710,782 has been expended for the capital project as follows: uses: campaign-to-date construction fees $ 6,949,881 architectural and design fees 1,013,423 project management and fees 2,721,408 fundraising expenses 1,026,070 total uses $11,710,782”

“The volunteers provide rides to seniors, tutoring for school age children, pc/mac computer classes and one-on-one tutoring, preventative health services (screenings, body work, meditation, blood pressure checks), language, current affairs and other lifelong learning courses, exercise classes and groups (i.e. Walking and biking groups), support to staff at our adult day health center for participants, and for overall avenidas administration in the form of data entry, mailings and other projects. Volunteers in the village help with other village members by serving as medpals (accompanying to doctor appointments), driving and helping around the home. They also serve on various committees in support of village staff.”
