Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

The Form 990 is included in the Board packet for the Board Members to review prior to its submission. The Board packet is delivered to the Board Members one week in advance of the board meeting. At the board meeting, the Form 990 is approved by the Board Members, which is held prior to the deadline for submission.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Each director, officer, other volunteer and selected employee shall provide the Golden State YMCA Board of Directors with a full and complete written disclosure of all facts of any transaction or situation that may be subject to any reasonable doubt concerning the possible existence of a conflict of interest by the director, officer, other volunteer or selected employee. Annually, the CEO shall send a copy of the Conflict of Interest Resolution and the disclosure statement/questionnaire to all directors, officers, other volunteers and selected employees who shall complete and return the disclosure statement to the CEO. The CEO shall submit a confidential report to the Board of Directors concerning the same. Each new director, officer,other volunteer and selected employee shall participate in a similar procedure immediately upon assumption of his or her responsibilties.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The Audit Committee of the Golden State YMCA Board of Directors annually, reviews and discusses the Disqualified Persons (executive)compensation comparison packet prepared by staff, a copy of which is kept in the Audit Committee file folder at the corporate office. We use YMCA of the USAs 2013 Salary PolicyLine of the YMCA HR Task Force for nationwide comparables and benefits. Total compensation includes wages, employer paid benefits of health and life insurance and contributions toretirement for the CEO, and continuing professional education costs for the CFO. The Committee understands that they are not being asked to recommend a change in wage rate, but just to document to the Board that executive compensation is not excessive. Positions included for this review were the Chief Executive Officer, Chief Financial Officer, Chief Operations Officer, and the Branch Executive Directors.

Part X : FIN48 Footnote

Golden State YMCA adopted the recognition requirements for uncertainincome tax positions as required by generally accepted accountingprinciples, with no cumulative effect adjustment required. Income taxbenefits are recognized for income tax positions taken or expected to betaken in a tax return, only when it is determined that the income taxposition will more-likely-than-not be sustained upon examination bytaxing authorities. Golden State YMCA has analyzed tax positions takenfor filing with the Internal Revenue Service and all state jurisdictionswhere it operates. Golden State YMCA believes that income tax filingpositions will be sustained upon examination and does not anticipate anyadjustments that would result in a material adverse affect on GoldenState YMCAs financial condition, results of operations or cash flows.Accordingly, Golden State YMCA has not recorded any reserves, or relatedaccruals for interest and penalties for uncertain income tax positions at December 31, 2015. Golden State YMCA is subject to routine audits bytaxing jurisdictions; however, there are currently no audits for any taxperiods in progress.
