Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization does have members, but the members do not typically elect individuals to the governing body.

Form 990, Part VI, Section A, Line 7A

Members may only elect individuals to the governing body in the unlikely event that the nominating committee puts forth more candidates than openings are available on the board.

Form 990, Part VI, Section A, Line 7B

Certain decisions by law, such as the vote to dissolve the corportion, or the the vote to elect board members under certain circumstances, are limited to the members.

Form 990, Part VI, Section B, Line 11

The form 990 will be reviewed by management of the organization prior to filing. All board members will receive a copy once the return is reviewed.

Form 990, Part VI, Section B, Line 12C

Board members, cfo and president/general manager all review and sign off on the conflict of interest policy each year, typically during the september board meeting. No conflicts have been disclosed as of this time.

Form 990, Part VI, Section B, Line 15

The president/gm's employment agreement was last updated in 2014, when the first change in base compensation occurred since 2008. Salary surveys for similarly sized markets conducted by neta and a co-hort station's consultant were provided to the board's executive committee at that time. Comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations is used in determining compensation for other officers or key employees. Deliberations and decisions are documented. This process was last undertaken in 2014.

Form 990, Part VI, Section C, Line 19

The organization's audited financial statements are available on kvie's website and upon request.
