Governance Explanations

The completed form 990 is reviewed by the school's audit committee. The return is made available to the entire governing body before being filed.

Form 990, Part VI, Section B, Line 12C

All officers, directors, trustees, and key employees are required to disclose, at least annually, relationships that could give rise to conflicts. Reporting is done at several times during the fiscal and academic year. Each fall (september) trustees, officers, and key employees disclose any known or suspected conflicts on a written conflict of interest disclosure form. Forms are collected at a regularly scheduled board meeting and reviewed (by the audit chair) to identify conflicts. Additionally, several times during the year, trustees are polled at the start of board discussions that relate to executive compensation and other board matters that might present conflicts of interest. Trustees are polled at the start of these discussions to declare any known or suspected conflicts. Declarations are noted in the board minutes.

Form 990, Part VI, Section B, Line 15

The school has created a compensation committee, composed of trustees who have no conflict with respect to compensation and assisted by the school's independent legal counsel, to review executive pay and compensation. The committee reviews comparable executive salary and compensation data for the school's head of school and chief financial officer positions. The committee reviews compensation data from independent school databases for national, california, and bay area schools. Recommendations for head of school and cfo compensation, with supporting documentation, are presented to the governing board for review and approval, as appropriate.

The school's parents association members volunteer at various school events and functions throughout the year. Approximately 350 parents donate time to these activities each year.

Financial Statement Notes

PART V, LINE 4:

I. Endowed faculty awards 1. Edward e. Ford foundation fellowship: restrictions: income from fund is restricted for use by marin academy for faculty professional development expenses, such as conference and workshop fees, travel costs to and from professional development activities, and other costs associated with professional training. Faculty must submit a proposal of training, travel and program objectives to the school's ee ford foundation committee. Proposals should be based upon the academic objectives established and announced by the committee. One or more scholars are selected each year for the award. 2. Haas endowment challenge fund: restrictions: income from the fund is restricted for use by marin academy to benefit the faculty for professional development. 3. Evelyn flory endowment fund: restrictions: income from the fund is restricted for use by marin academy to support faculty professional development activities that help marin academy achieve its cultural diversity goals. 4. Endowment for faculty support: income from the fund supports compensation for marin academy faculty. 5. Mcevoy faculty sabbatical fund: established in 2005, provides half-year sabbatical funding for faculty members serving the marin academy community for at least seven years. This sabbatical is designed to be restorative and personal: there are no restrictions or stipulations regarding use. Recipients must return for a full (full-time) year of service at ma after taking their sabbatical. 6. Thoreau chair: made possible by a gift from a marin academy family, the henry david thoreau chair represents the first endowed faculty chair for the school. Through interdisciplinary curriculum development, teaching, and mentoring the student community, the thoreau chair seeks to support an educational program at ma that recognizes citizenship in today's world rests on a deep ecological understanding. Ii. Endowed student awards 1. Matthew clifford endowment fund: established in memory of former student matthew clifford. Income from the fund is restricted for use by marin academy to recognize a student each year that meets the following criteria: a) recipient must have established financial need; b) demonstrated willingness to serve the school community enthusiastically and a caring and supportive attitude in their relationship with fellow students; c) tries to excel to make the best of their academic opportunities; d) an active participant in the extra-curricular life of the school (arts, athletics, outings, etc.); e) a person of obvious integrity and citizenship. Student selection is made by a committee of school faculty and administrators. Funds are used to supplement student's need-based aid. 2. Danielle plumb zumbrun (dpz) endowment fund: established in memory of former student danielle plumb zumbrun. Income from the fund is restricted for use by marin academy to support a leadership-training program for outstanding students in the outings program. Funds are awarded to students to help pay for a wilderness experience or outdoor leadership training not available through marin academy's outings curriculum. Students are selected by a committee of faculty and the head. 3. Headmaster's cup endowment fund: established to honor marin academy's first headmaster, william mccluskey. Funds were donated to support student activities at marin academy. Each year, the school recognizes a graduating senior who demonstrates the attitudes of mind and character that marin academy aims to foster. 4. Endowment for awards of special financial aid: income from the fund is restricted for use by marin academy to provide financial support for students to cover the incidental costs of outings, field trips, sports equipment and other programs. 5. Bodie brizendine scholarship fund: this endowed fund provides need-based financial assistance to students who would otherwise not be able to attend marin academy. 6. The carol l. Morse scholarship: this fund was established in 2006 by th

The school is a qualified not-for-profit organization exempt from federal income and california franchise taxes under the provisions of sections 501(c)(3) of the internal revenue code and 23701(d) of the california revenue and taxation code, respectively. The school has evaluated its current tax positions and has concluded that as for june 30, 2018, the school does not have any significant uncertain tax positions for which a reserve would be necessary.
