Governance Explanations

By resolution of the board of directors, the audit committee of the board will review the tax return on behalf of the board.

Form 990, Part VI, Section B, Line 12C

On an annual basis, all trustees are provided a copy of the conflict of interest disclosure statement. This disclosure statement must be completed and returned to the chair of the committee of trustees by october 1 of each year for review by the executive committee. Should a member of the executive committee be the subject of a possible conflict of interest, that member will excuse himself/herself from the room during committee discussion and any voting regarding that conflict. All new trustees must complete the disclosure statement prior to assuming their duties for the school. The executive committee submits an annual confidential report to the board of trustees regarding any trustee conflicts of interest and their resolution.

Form 990, Part VI, Section B, Line 15

The compensation committee is comprised of the executive committee of the board of trustees. This committee is responsible for setting the compensation of the head of school. The process for determining the head of school's compensation was undertaken in connection with the negotiation of the head of school's employment agreement effective july 1, 2014. The head of school began his service as headmaster in 1989. The prior employment agreement for the head of school had been amended seven times since 2002. The terms of this final two-year employment agreement were discussed and approved by the executive committee and subsequently approved by the board of trustees. Prior to the finalization of the 2014 employment agreement, the school requested a custom benchmark study from the national association of independent schools for compensation data from a group of 15 similar leading independent peer schools for the 2012-2013 school year. The executive committee reviewed this data and the results of the benchmark study support the determination that the compensation for the head of school be in the top 90% of his peer group. Also taken into consideration was a recent comparable for a bay area independent school retiring head of school with similarly long tenure. For other key employees, the head of school reviews data annually from the independent schools business officers association (isboa) and the california association of independent schools (cais) for comparable compensation for similarly qualified persons.

Financial Statement Notes

PART V, LINE 4:

The school's endowments consist of three individual funds established for a variety of purposes (the endowment fund). Its endowment includes both donor-restricted endowment funds and funds designated by the board to function as endowments. PART X, LINE 2:

The school is exempt from federal and state income taxes under the internal revenue code section 501(c)(3) and by the california revenue and taxation code 23701d. Accordingly, it has not provided for income taxes in these consolidated financial statements. Town school properties, llc is a pass-through entity for income tax reporting purposes and, accordingly, does not pay tax on its taxable income. Instead, income or loss is reported on the tax returns of the school. The entity is subject to a minimum franchise tax for the state of california. Each year, management considers whether any material tax position the organization has taken is more likely than not to be sustained upon examination by the applicable taxing authority. Management believes that any positions the organization has taken are supported by substantial authority, and hence, do not need to be measured or disclosed in these consolidated financial statements. Tax returns subsequent to june 30, 2012 are subject to examination by federal and state tax authorities.
