Governance Explanations

Form 990, Part VI, Line 11B Review of form 990 by governing body

Crowe llp and mills college finance staff worked together in gathering the required tax information necessary to complete the tax returns. Crowe llp, the college president, and the college vice president for finance and administration and treasurer reviewed the form 990 draft for accuracy and completeness. The board of trustees audit committee, college management, and crowe llp representatives met to review the full form 990 draft in detail. After this review, the form 990 was finalized and provided to the full board of trustees, a public copy via email and a full copy for in person review. Thereafter, the final form 990 was filed. In addition, a copy of the mills college audited financial statements was provided to the full board of trustees.

Form 990, Part VI, Line 12C Conflict of interest policy

The conflict of interest policy is regularly and consistently enforced by the audit committee with the advice and assistance of the vice president for finance and administration and treasurer. The audit committee requires each college trustee, officer, and key employee to complete annually a conflict of interest questionnaire. The questionnaires are filed with the vice president for finance and administration and treasurer and reviewed by the audit committee, which makes recommendations about the potential conflicts of interests to the full board. The committee and the board maintain minutes and other documentation to record their review of actual or potential conflicts. College trustees, officers, and key employees are also aware of the duty to disclose any potential conflicts of interest during the year. These additional disclosures by an individual covered by the policy are submitted to the audit committee chair and the vice president for finance and administration and treasurer. The audit committee will review the potential conflicts and make recommendations to the full board. At regularly scheduled meetings of the audit committee and the full board, the audit committee reports on any actual or potential conflicts of interest and their resolution or recommendation. The audit committee reviews the operation of the policy and makes recommendations to the board of trustees regarding any proposed changes. The vice president for finance and administration and treasurer (or his or her representative) attends all relevant meetings and assists in preparing the minutes. If an individual believes that she/he may have an actual or potential conflict of interest, she/he shall immediately and fully disclose the potential conflict in writing, and shall refrain from participating in any transactions or decisions of any actual or potential ethical, legal, financial or other conflicts of interest involving the college that may involve the potential or actual conflict of interest.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

College President, other college officers, and key executives for approval by the board. The Executive Committee, as well as any third parties providing professional advice to the committee, must be independent. The Executive Committee annually conducts a review of the College President's, other college officers', and key executives' compensation. Timely minutes of all final recommendations and actions by the executive compensation committee and board regarding the College President's compensation are recorded. The policy provides that executive compensation arrangements should fall within the bounds of market practice for comparable positions at comparable organizations. Factors that are reviewed in determining comparability include: (1) Compensation levels paid by similarly situated organizations, both taxable and tax-exempt, for functionally comparable positions; (2) The availability of similar services in the geographic area of the organization; (3) Current compensation surveys compiled by independent firms; and (4) Actual written offers from similar institutions competing for the services of the affected person. Compensation packages and contracts for college officers and key executives are reviewed for internal consistency and equity as well as comparability with external market data. Salaries of college officers and key employees were reviewed by the Mills College Board of Trustees Executive Committee at their April 21, 2020 meeting and the committee reported on their meeting to the Board of Trustees on May 15, 2020.

Collections are held for the purposes of enhancing curriculum and for public exhibition for educational purposes or research. They are not for financial gain. Collections are protected, cared for, and preserved.

Schedule D, Part V, Line 4 Intended uses of endowment funds

Endowment funds are managed and used for the purpose of ensuring continued support for the college's long term educational purposes. The long term financial goal for the endowment investment portfolio is to provide a relatively stable stream of expendable revenue that increases over time, at least as fast as the general rate of inflation.

The College is recognized by the Internal Revenue Service as an organization exempt from federal income taxes on related income under Section 501(c)(3) of the Internal Revenue Code. The College is also recognized by the Franchise Tax Board as exempt from California state tax on related income under Section 23701d of the California Revenue and Taxation Code. The College has identified and evaluated significant tax positions in its significant tax jurisdictions which are the federal and California state tax jurisdictions. The College has also determined that the open tax years are generally three years for federal and four years for California tax purposes. For federal there is an unrelated business income net operating loss carryover of approximately $1,727,000 and $1,797,000 as of June 30, 2020 and 2019, respectively. For California there is an unrelated business income net operating loss carryover of approximately $2,012,000 and $1,829,000 as of June 30, 2020 and 2019, respectively. A net operating loss can only be reflected as a benefit (deferred tax asset) on the statement of financial position when it is likely that the loss would be utilized against taxable income in another tax year. Since there is not presently a likelihood of taxable income in another tax year, the College has recorded a full valuation allowance for the deferred tax assets on the statement of financial position for these net operating loss carryovers. There have been no related tax penalties or interest, which would be classified as tax expense in the statement of activities. The net operating loss carryover will begin to expire June 30, 2025 for federal purposes and June 30, 2019 for California purposes. The College applied ASC 740-10-25, Accounting for Uncertainty in Income Taxes, to all tax positions for which the statute of limitations remained open and determined there were no material unrecognized tax benefits as of the year ended June 30, 2020 and the year ended June 30, 2019, nor are any changes anticipated in the twelve months following June 30, 2020.

IRS990/Desc0With a total enrollment of 1,122 students, representing 41 states and 22 countries, the College provides instruction, research, public service, and academic support to 699 undergraduate, 399 graduate and 24 non-degree students. On the undergraduate side, students of color represent 57% of the class, with 56% of graduate students being students of color. Forty-four percent of undergraduates are first generation students. The College provides financial aid, scholarships, and fellowships to both our undergraduate and graduate populations. Ninety-six percent of undergraduate students receive financial aid, with the average award being $26,802. Of the total $18.9M in aid awarded, $9.2M was funded by Mills. Thirty-six percent of our students receive Cal Grants and 56% are eligible for Pell grants. The College's undergraduate Hispanic population is 33%, making us eligible to declare as an Hispanic-serving institution (HSI). The percentage of graduate students receiving financial aid was 87%, with Mills providing $2.0M in scholarships and grants and $0.9M in assistantships out of a total of $7.5M of any financial aid awarded to graduate students.
