Mission

Founded in 1852 and located in Oakland, California, in the heart of the San Francisco Bay Area, Mills College (The "College") is a liberal arts college for women and gender non-binary students, with graduate programs for all genders. (Continued on Schedule O)

Founded in 1852, mills college (the "college") is an independent liberal arts college for women, with graduate programs for both women and men. The college provides education and training services for undergraduate women and graduate women and men, and performs training and other programs under grants, contracts, and similar agreements with its sponsors, primarily departments and agencies of the united states government, and private donors. The college educates its students to think critically and communicate responsibly and effectively, to accept the challenges of their creative visions, and to acquire the knowledge and skills necessary to understand the natural world and effect thoughtful changes in society. The college encourages openness to experimentation and change in the context of established academic disciplines. The curriculum combines the traditional liberal arts with new educational initiatives that recognize the value of cultural, racial, and ethnic diversity.

Governance Explanations

Form 990, Part VI, Line 11B Review of form 990 by governing body

Crowe horwath llp and mills college finance staff worked together in gathering the required tax information necessary to complete the tax returns. Crowe horwath llp and the college president, the college vice president for finance and administration and treasurer reviewed the form 990 draft for accuracy and completeness. The audit committee and full board of directors are provided a full copy of the form 990 either via email or for in person review. After a review period, the audit committee members met with mills college management and crowe horwath llp representatives to review the draft in detail. After this review, the final form 990 was filed. In addition, a copy of the mills college audited financial statements was provided to the full board of trustees.

THE CONFLICT OF INTEREST POLICY IS REGULARLY AND CONSISTENTLY ENFORCED BY THE AUDIT COMMITTEE WITH THE ADVICE AND ASSISTANCE OF THE VICE PRESIDENT FOR FINANCE AND ADMINISTRATION AND TREASURER. THE AUDIT COMMITTEE REQUIRES EACH COLLEGE TRUSTEE, OFFICER, AND KEY EMPLOYEE TO COMPLETE ANNUALLY A CONFLICT OF INTEREST QUESTIONNAIRE. THE QUESTIONNAIRES ARE FILED WITH THE VICE PRESIDENT FOR FINANCE AND ADMINISTRATION AND TREASURER AND REVIEWED BY THE AUDIT COMMITTEE, WHICH MAKES RECOMMENDATIONS ABOUT THE POTENTIAL CONFLICTS OF INTERESTS TO THE FULL BOARD. THE COMMITTEE AND THE BOARD MAINTAIN MINUTES AND OTHER DOCUMENTATION TO RECORD THEIR REVIEW OF ACTUAL OR POTENTIAL CONFLICTS. COLLEGE TRUSTEES, OFFICERS, AND KEY EMPLOYEES ARE ALSO AWARE OF THE DUTY TO DISCLOSE ANY POTENTIAL CONFLICTS OF INTEREST DURING THE YEAR. THESE ADDITIONAL DISCLOSURES BY AN INDIVIDUAL COVERED BY THE POLICY ARE SUBMITTED TO THE AUDIT COMMITTEE CHAIR AND THE VICE PRESIDENT FOR FINANCE AND ADMINISTRATION AND TREASURER. THE MILLS COLLEGE BOARD OF TRUSTEES HAS APPROVED THE EXECUTIVE COMPENSATION POLICY. THE MILLS COLLEGE BOARD OF TRUSTEES EXECUTIVE COMPENSATION COMMITTEE HAS OVERSIGHT OF ALL ELEMENTS OF EXECUTIVE COMPENSATION AND IS RESPONSIBLE FOR RECOMMENDING THE COMPENSATION OF THE COLLEGE PRESIDENT, OTHER COLLEGE OFFICERS, AND KEY EXECUTIVES FOR APPROVAL BY THE BOARD. THE EXECUTIVE COMPENSATION COMMITTEE, AS WELL AS ANY THIRD PARTIES PROVIDING PROFESSIONAL ADVICE TO THE COMMITTEE, MUST BE INDEPENDENT. Endowment funds are managed and used for the purpose of ensuring continued support for the college's long term educational purposes. The long term financial goal for the endowment investment portfolio is to provide a relatively stable stream of expendable revenue that increases over time, at least as fast as the general rate of inflation.

The College is recognized by the Internal Revenue Service as an organization exempt from federal income taxes on related income under Section 501(c)(3) of the Internal Revenue Code. The College is also recognized by the Franchise Tax Board as exempt from California state tax on related income under Section 23701d of the California Revenue and Taxation Code. The College has identified and evaluated significant tax positions in its significant tax jurisdictions which are the federal and California state tax jurisdictions. The College has also determined that the open tax years are generally three years for federal and four years for California tax purposes. Thus, the general open tax years are the years ended June 30, 2013 through June 30, 2016 for federal purposes and the years ended June 30, 2012 through June 30, 2016 for California purposes. For federal there is an unrelated business income net operating loss carryover of approximately $1,475,000 and $1,440,000 as of June 30, 2016 and 2015, respectively. For California there is an unrelated business income net operating loss carryover of approximately $1,475,000 and $1,440,000 as of June 30, 2016 and 2015, respectively. For federal, the tax effect of the net operating loss was approximately $501,000 and $490,000 as of June 30, 2016 and 2015, respectively. For California, the tax effect of the net operating loss was approximately $130,000 and $127,000 as of June 30, 2016 and 2015, respectively. A net operating loss can only be reflected as a benefit (deferred tax asset) on the statement on financial position when it is likely that the loss would be utilized against taxable income in another tax year. Since there is not presently a likelihood of taxable income in another tax year, the College has a valuation allowance against the deferred tax asset for federal and California for the full amount of approximately $631,000 and $617,000 as of June 30, 2016 and 2015, respectively. Therefore, there is no deferred tax asset on the statement on financial position and there have been no related tax penalties or interest, which would be classified as tax expense in the statement of activities. The net change during the year in the total valuation allowance was $14,000. The carryover extends the statute of limitations and thus the open tax years for purposes of the net operating loss only are the years ended June 30, 2005 through June 30, 2007 and June 30, 2010 to June 30, 2012 for federal purposes and the years ended June 30, 2006 through June 30, 2007 and June 30, 2010 to June 30, 2012 for California purposes. The net operating loss carryover will begin to expire June 30, 2025 for federal purposes and June 30, 2016 for California purposes. The College applies ASC 740-10-25, Accounting for Uncertainty in Income Taxes, to all tax positions for which the statute of limitations remained open and determined there were no material unrecognized tax benefits as of the year ended June 30, 2016 and the year ended June 30, 2015, nor are any changes anticipated in the twelve months following June 30, 2016.

IRS990/Desc0With a total enrollment of 1,345 students, representing 43 states and 14 countries, the College provides instruction, research, public service, and academic support to 821 undergraduate and 524 graduate students. On the undergraduate side, students of color represent 54% of the class, with 47% of graduate students being students of color. Thirty-six percent of undergraduates are first generation students. The College provides financial aid, scholarships, and fellowships to both our undergraduate and graduate populations. Ninety-two percent of undergraduate students receive financial aid, with the average award being $42,000. Of the total $31.7M in aid awarded, $19.7M was funded by Mills. Forty-two percent of our students receive Cal Grants and 47% are eligible for Pell grants. The College's Hispanic population is 27%, making us eligible to declare as an Hispanic-serving institution (HSI). The percentage of graduate students receiving financial aid was 88%, with Mills providing $5.1M of the $14.1M awarded.
