Governance Explanations

Form 990, Part VI, Section B, Line 11

The entire governing board was provided a copy of form 990 prior to filing that included all schedules.

Form 990, Part VI, Section B, Line 12C

The members of the board of trustees and the head of school shall exercise reasonable care, discretion and good judgement for the benefit of branson. In their dealings with and on behalf of branson, fiduciaries shall be held to a rule of honest, fair and good faith dealing between themselves and branson. They shall not use their positions, or knowledge gained there from, in such a way that a conflict of interest, a potential conflict of interest or the appearance of impropriety arises between the interest of branson and that of the individual. The board shall ensure that any "material" (as herein defined) transaction or other matter involving branson in which a fiduciary has a personal financial or other interest is in the best interests of branson. If a conflict of interest exists, the person shall promptly report the existence of an actual or potential conflict of interest or a matter giving rise to the appearance of impropriety for themselves or any "family members" (as herein defined) according to, the branson school conflict of interest disclosure statement promptly after receiving same. No fiduciary with an actual or potential conflict of interest or the appearance of impropriety (interested person) may vote on, or be present at the vote for, a matter related thereto or be counted in determining the existence of a quorum at the meeting of the board of trustees at which such matter is voted upon. At the discretion of the chair of the board, the interested person may participate in board discussions concerning such matter, but shall not be counted toward the quorum for the vote upon such matter. If the interested person is unable to mitigate the conflict of interest, the board may remove upon a vote of the matter.

Form 990, Part VI, Section B, Line 15

The head of school's compensation package is determined exclusively by the board of trustees. A compensation committee of the board of trustees reviews form 990s filed by comparable schools. A written employment contract is signed by the board president and the head of school. The head of school is responsible for determining compensation and benefits for key employees of the school. A survey of compensation and benefits conducted by isboa, and organization of schools in the bay area, is used as a benchmark.

The branson school endowment funds are primarily used to support the general operations of the school, including financial aid support.

PART X, LINE 2:

The school is a qualified organization exempt from federal income and california franchise taxes under the provisions of sections 501(c)(3) of the internal revenue code and 23701(d) of the california revenue and taxation code, respectively. The school recognizes the effect of income tax positions only if those positions are more likely than not of being sustained, and changes in recognition or measurement are reflected in the period in which the change in judgment occurs. The school has evaluated its current tax positions and has concluded that as of june 30, 2016, the school does not have any significant uncertain tax positions for which a reserve would be necessary.
