The board of trustees reviews the form 990 prior to filing the return.

Form 990, Part VI, Section B, Line 12C

Natcast maintains a written conflict of interest policy that applies to all of its trustees, corporate officers and employees. Conflicts are required to be disclosed by a person prior to or promptly following such person becoming a trustee, corporate officer or employee, and thereafter annually and as a conflict arises. For conflicts involving a trustee or corporate officer, (i) a designated board committee reviews disclosures, determines whether a conflict exists, and determines the resolution of the conflict, and (ii) the board may determine the resolution of a conflict upon referral from such committee. For conflicts involving an employee other than a trustee or corporate officer, (i) a designated conflicts officer reviews disclosures, determines whether a conflict exists, and determines the resolution of the conflict, and (ii) the designated committee may determine the resolution of a conflict upon referral from the conflicts officer. Members of the governing body with a conflict are required to recuse themselves from deliberations and decisions by the governing body related to the matter at issue. The policy is reviewed periodically and updated as needed.

The board of trustees holds executive sessions during their periodic meetings. The ceo's compensation is discussed in executive sessions during the budget process. The ceo's compensation is determined after taking into consideration market surveys and public disclosures of other similar organizations. During the budget process, the board of trustees (and/or its compensation and talent committee), using external data, reviews and approves the compensation package for new officers and key employees as well as any of their subsequent salary adjustments.

ADDRESSING THE COMPLEX AND COSTLY CHALLENGES OF THIS INDUSTRY, PRISM AIMED TO LEVERAGE COLLABORATIVE R&D FROM ACROSS THE SEMICONDUCTOR SUPPLY CHAIN, INVOLVING INDUSTRY EXPERTS, ACADEMIC RESEARCHERS, NATIONAL LABORATORIES, STARTUPS, GOVERNMENT AGENCIES, AND OTHER STAKEHOLDERS. THE PRISM CALL FOR PROPOSALS WAS RELEASED IN NOVEMBER, FOLLOWED BY A PROPOSERS' DAY EVENT. FINAL PROPOSALS WERE DUE IN JANUARY 2025. PROPOSALS WERE REVIEWED AND A FINAL SELECTION MEMO WAS SUBMITTED.IN APRIL 2024, THE SCALABLE MEMORY ARCHITECTURE PROGRAM (SMAP) FUNDING OPPORTUNITY WAS LAUNCHED. THE GOAL OF THE SMAP PROGRAM WAS TO ADDRESS THE GROWING DISPARITY BETWEEN PROCESSOR SPEED AND MEMORY BANDWIDTH, COMMONLY KNOWN AS THE "MEMORY WALL." BY DEVELOPING SCALABLE, WORKLOAD-DRIVEN ARCHITECTURAL SOLUTIONS THAT LEVERAGE NEW MEMORY TECHNOLOGIES AND ADVANCED PACKAGING TECHNIQUES, SMAP AIMED TO PROVIDE NSTC MEMBERS WITH THE DATA, TOOLS, AND TECHNOLOGY ASSESSMENT CAPABILITIES NEEDED TO OPTIMIZE PERFORMANCE, REDUCE LATENCY, AND IMPROVE ENERGY EFFICIENCY IN HIGH COMPUTING DATA CENTER SYSTEMS AND ENERGY-CONSTRAINED EDGE SYSTEMS. THE SMAP CFP WAS RELEASED IN APRIL, FOLLOWED BY A PROPOSERS' DAY EVENT. FINAL PROPOSALS WERE DUE IN JUNE 2025, WITH AWARDS ANTICIPATED FOR DECEMBER.IN ADDITION TO FUNDING OPPORTUNITIES, NATCAST ESTABLISHED THE INAUGURAL NSTC TECHNICAL ADVISORY BOARD. THE TAB COMPRISED OF 19 KEY STAKEHOLDERS SPANNING THE SEMICONDUCTOR ECOSYSTEM AND PROVIDED NATCAST WITH STRATEGIC GUIDANCE AND EXPERTISE TO HELP INFORM NSTC RESEARCH PRIORITIES AND SHAPE THE NSTC RESEARCH AGENDA. NATCAST ALSO DEVELOPED THE DRAFT INAUGURAL NSTC RESEARCH AGENDA AND BEGAN THE DEVELOPMENT OF ALIGNED PROGRAMS, SUCH AS WITH A FOCUS ON PHOTONICS, LOW-D MATERIALS, HYPER NA, AND INTERCONNECTS, AS WELL AS A ROLLING "SEEDLINGS" PROGRAM TO ADVANCE PROMISING RESEARCH. IN MAY 2025, NATCAST FINALIZED THE CONTRACTS FOR ITS THREE AIDRFIC AWARDS FOCUSED ON ACCELERATING AI-DRIVEN RFIC DESIGN INNOVATION AND ENHANCING U.S. GLOBAL COMPETITIVENESS IN NEXT-GENERATION COMMUNICATIONS SYSTEMS. THE WFAB WAS ESTABLISHED TO OFFER CRITICAL INPUT ON NATIONAL AND REGIONAL WORKFORCE STRATEGIES, ENSURING THE WCOE'S INITIATIVES ARE EMPLOYER-DRIVEN AND RESPONSIVE TO REAL-TIME INDUSTRY CHALLENGES. - THE RELEASE OF THE "FROM CLASSROOM TO CLEANROOM: TALENT DEVELOPMENT IN THE U.S. SEMICONDUCTOR INDUSTRY" DASHBOARD. THE INTERACTIVE DASHBOARD FOCUSED ON THE FLOW OF TALENT FROM POSTSECONDARY INSTITUTIONS TO ROLES IN THE SEMICONDUCTOR INDUSTRY AS OF 2022. IT INCLUDED 2022 COMPLETION DATA FROM 149 INDUSTRY-ALIGNED PROGRAMS OFFERED BY TITLE IV HIGHER EDUCATION INSTITUTIONS. THE DASHBOARD WAS DEVELOPED TO HELP CREATE INVENTORY OF EXISTING RESOURCES AND A BASELINE FOR EVALUATING THE IMPACT OF THE NSTC WORKFORCE CENTER OF EXCELLENCE'S EFFORTS. - IMPLEMENTATION AND MANAGEMENT OF THE 2024 NSTC WORKFORCE PARTNER ALLIANCE (WFPA) PROGRAM COMPRISED OF AWARDS REPRESENTING AN INVESTMENT OF NEARLY $10 MILLION.
