Governance Explanations

Form 990, Part VI, Section A, Line 1A

There shall be an executive committee consisting of the elected officers of the board of directors and the immediate past-chair (who shall be a nonvoting member of the executive committee) and any others as selected by the board chair and approved by the board of directors. The president/ceo of the corporation shall also be a nonvoting member of the executive committee. The executive committee is authorized to transact the business of the corporation between regular board of directors' meetings, making decisions which cannot wait for regular board of directors' meetings. Reports of actions taken shall be made at the next regular board of directors' meeting. Minutes of the executive committee must be kept. However all major financial, legal or administrative changes must be submitted for approval to the board of directors at a regular or specially called meeting. The executive committee plans and conducts the annual meeting of the board of directors.

Form 990, Part VI, Section A, Line 4

Section 6.025 presiding over meetings. All annual, regular and special meetings of the board of directors shall be presided over by the board chair, or in the absence of the board chair, by the vice chair. If neither the board chair nor the vice chair is present at the meeting, the secretary of the board shall call the meeting to order, and in the absence of the secretary, the treasurer shall call the meeting to order. The first order of business for such meeting shall be to appoint by majority vote of the directors a chair pro tem to preside over that meeting. Upon appointment, the meeting shall proceed as scheduled.

Management reviews the 990 return for accuracy and completeness and then provides a draft copy to the finance commitee and board of directors for further review. A final 990 return draft (incorporating any changes as a result of the review) is provided to the finance committee and board of directors via email prior to filing the return with the irs.

Directors, officers and staff shall disclose in writing to the board of directors any person to whom they are closely related or any organization with which they are affiliated who or which presently transacts business with the corporation or a related entity or might reasonably be expected to do so in the future. Compensation is determined by comparability data and salary surveys from local similar non-profits. The ceo salary is approved by the executive committee (or ceo search committee for new hires). On an annual basis, the executive committee reviews the ceo's salary and approves it with any annual increases. This is documented in the committee's meeting minutes. This process was last undertaken during the year 2024. Key employee compensation is compared periodically with data and salary surveys from local similar non-profits (asu loadstar survey) and compensation is approved by the ceo. Form 990, Part III, Line 2

Construction training program: the construction training program (ctp) is a workforce development initiative designed to prepare individuals regardless of prior experience for successful careers in the construction industry. Aligned with habitat for humanity's mission of building homes, communities, and hope, the program cultivates the next generation of skilled construction professionals through a blend of classroom instruction, hands-on lab practice, and on-site field experience. The ctp curriculum is based on the national center for construction education and research (nccer) standards, which have set the benchmark for construction education for nearly 30 years. Trainees earn nationally recognized and transferable credentials that are also stackable, allowing them to build upon their certifications as they continue their training and careers. Designed specifically for individuals with little to no construction experience, the program introduces participants to core construction concepts and skills. Beyond technical proficiency, the program emphasizes teamwork, problem-solving, and leadership traits essential for long-term success in the trades. Graduates of the program are equipped to pursue a variety of pathways including paid apprenticeships, employment in the construction field, service in the military, enrollment in advanced technical training programs, or continuing education at the college or university level. In fiscal year 2024, the construction training program served over 30 individuals, with 25 graduating. In addition, we placed 18 of the graduates.

Financial Statement Notes

PART IV, LINE 2B:

The organization receives amounts from their homeowners for insurance and property taxes. These amounts are used to pay amounts as they become due.

PART X, LINE 2:

The organization is exempt from federal income taxes under section 501(c)(3) of the irc and, therefore, has no provision for federal income taxes. In addition, the organization qualifies for the charitable contribution deduction under section 170 of the irc and has been classified as an organization that is not a private foundation. Income determined to be unrelated business taxable income (ubi) would be taxable. The organization follows the accounting standard for uncertain tax positions. The organization's policy prescribes a recognition threshold and measurement principles for the financial statement recognition and measurement of tax positions taken or expected to be taken on a tax return that are not certain to be realized. This policy has had no impact on the organization's consolidated financial statements.

AFFORDABLE HOMEOWNERSHIP HELPS CREATE THE CONDITIONS THAT FREE FAMILIES FROM INSTABILITY, STRESS AND FEAR AND ENCOURAGE SELF-RELIANCE AND CONFIDENCE.
