Burrell-preferred, inc., a related organization, hired gallagher to do a compensation review for executives in october 2023 and may 2024. The missouri behavioral health council (mbhc) sponsored a custom compensation and benefits survey performed by cbiz in 2024. The ceo compensation was approved by both the finance committee and the board.

The sole member of the corporation is burrell-preferred, inc., a missouri nonprofit corporation (the member). The member is exempt from federal income tax under section 501(c)(3) of the internal revenue code.

Form 990, Part VI, Line 7B Decisions requiring approval by members or stockholders

The member shall have those reserved rights and powers described below: (a) to request, but not require, a director (defined herein) be removed from and by the corporation's board of directors, with or without cause, whenever such action may be deemed by the member to be in the best interests of the corporation; (b) to consult with the corporation's board of directors regarding the nomination, appointment or election of any new director to the corporation's board of directors; (c) to consult with the corporation's board of directors regarding all amendments to the articles of incorporation and bylaws of the corporation prior to such amendments being approved by the corporation's board of directors; and (d) to consult with and assist the corporation with the development of the corporation's annual budget, financial management policies and procedures, health care and quality policies and procedures and other operational policies of the corporation. The bylaws of the corporation may be amended or repealed and new bylaws may be adopted by a vote of the majority of the board of directors at a meeting at which a quorum is present, subject further to the consultation and approval rights of the member regarding any amendments to the articles of incorporation or the bylaws that purport to, or do or would, amend or modify the identity, reserved powers or obligations of the member, including, but not limited to, any amendment or modification of the powers of the member as stated in the bylaws.

The form 990 is prepared by an independent accounting firm based on the audited financial statements and information provided by the accounting department of the organization. Prior to filing, a tentative draft of the 990 is reviewed by the system director of finance, the vice president of finance, the executive vice president of finance, the chief financial officer, and the president/ceo before being provided to the board of directors. The 990 is emailed to the board of directors for review before filing.

Form 990, Part VI, Line 12C Conflict of interest policy

Directors, leadership, medical staff, key associates, and contracted providers must complete a conflicts of interest questionnaire upon hire and annually. Directors, leadership and key associates who are not considered medical staff shall be vetted by the office of compliance and ethics. Medical staff shall be vetted by the office of licensing and credentialing. Contracted providers and associates shall be directed to the office of human resources to be vetted by the associate or contract provider's supervisor or chief operations officer. If the board or committee determines a director has a conflict of interest, the director shall be recused from receiving any board documents or materials, or from participating in any board or committee discussions or other actions which pertain to the subject matter which gave rise to the board's determination that a conflict of interest exists. If it is determined such interests will not adversely impact the business interest of the company, the interests may stand as disclosed. The company may require internal controls be put in place to assure the company's interests are protected. If no internal controls can suitably protect the company's interests, it may require divestiture of interests if it deems the interests to be in conflict with the organization's best interest.

PROGRAMS INCLUDE: - SUPPORTED EMPLOYMENT - ASSISTS INDIVIDUALS WITH DISABILITIES IN PREPARATION FOR EMPLOYMENT - EMPLOYMENT SERVICES PLACEMENT AND RETENTION - ASSISTS INDIVIDUALS TO SECURE AND MAINTAIN EMPLOYMENT - EMPLOYMENT SERVICES PLUS SPECIALIZED PLACEMENT/RETENTION FOR PERSONS WITH AUTISM, BRAIN INJURY OR WHO ARE DEAF/HARD OF HEARING; INDIVIDUALIZED PLACEMENT AND SUPPORT ("IPS") - EVIDENCE-BASED INTEGRATION OF EMPLOYMENT WITHIN SUBSTANCE USE AND MENTAL HEALTH TREATMENT PROGRAMS - SKILLS TRAINING IN FOOD SERVICE. IN ADDITION, EMPLOYMENT SERVICES PROVIDES PRE-VOCATIONAL AND SUPPORTED EMPLOYMENT SERVICES TO CLIENTS WITH DEVELOPMENTAL DISABILITIES THROUGH THE MISSOURI DEPARTMENT OF MENTAL HEALTH. SLES'S EMPLOYMENT SERVICES PROGRAM ASSISTS OVER 1,000 INDIVIDUALS EVERY YEAR TO OBTAIN A JOB OF THEIR CHOOSING. YOUTH AND FAMILY - THE COMPANY (SLES) SUPPORTS CHILDREN, YOUTH, AND FAMILIES WITH COMPLEX NEEDS, INCLUDING: CHILDREN AND YOUTH WHO ARE AT RISK OF BEING REMOVED FROM HOME OR WHO HAVE BEEN REMOVED WITH THE GOAL OF REUNIFICATION; CHILDREN AND YOUTH WITH SERIOUS EMOTIONAL, NEUROBIOLOGICAL OR BEHAVIORAL DISTURBANCE, AND THEIR FAMILIES; AND CHILDREN AND YOUTH HAVING PROBLEMS THAT PLACE THE CHILDREN OR YOUTH AT RISK. A VARIETY OF PROGRAMS ARE OFFERED THROUGH MISSOURI TO SUPPORT THESE YOUTH AND THEIR FAMILIES, INCLUDING: CHAFEE FOSTER CARE INDEPENDENCE PROGRAM, AND TRANSITIONAL LIVING SCATTERED SITE. SLES IS ALSO THE PROUD RECIPIENT OF THREE FEDERAL REGIONAL PARTNERSHIP GRANTS (FUNDED BY THE CHILDREN'S BUREAU, ADMINISTRATION FOR CHILDREN, YOUTH & FAMILIES) WHICH ARE AIMED AT IMPACTING CHILD WELFARE AND PARENTAL SUBSTANCE USE CONCURRENTLY. THIS FUNDING HAS ALLOWED SLES TO FORMALIZE THE CREATION OF A MULTIDISCIPLINARY TEAM (CHILD WELFARE, TREATMENT, AND EMPLOYMENT) WHICH GENERATES SIGNIFICANT COST SAVINGS FOR THE STATE OF MISSOURI.
