Annually, every director affirms the conflict-of-interest policy. When a financial interest exists, the director is to identify and provide facts on the interest. After discussion, the director leaves the meeting, and a vote is taken on whether or not a conflict of interest exists. If a conflict does exist, the director may present information but cannot be present for discussion and the vote on that topic. If a director fails to disclose an actual or possible conflict, the board considers and votes on this. Periodic reviews for conflicts are also performed.

The finance/audit committee is responsible for review of the draft audit and selection of the independent auditing firm. The executive director and treasurer are responsible for the oversight of the audit process. This process has changed from the previous year.

Financial Statement Notes

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization, including whether the entity is exempt from income taxes. Management evaluated the tax positions taken and concluded that the organization has taken no uncertain tax positions that require recognition or disclosure in the financial statements. The organization was formed on august 15, 2023, and, therefore, is not subject to income tax examinations by the u.s. Federal, state, or local tax authorities prior to that date.

Part VI, Line 1E

This amount reflects construction-in-progress incurred in the design phase for constructing the environmental center on sunnyside peninsula in the city of lancaster. This is a multiple-year project.
