Shaun donovan is president and chief executive officer, and a member of the board of trustees of enterprise community partners, inc. Phyllis cauldwell and ismael guerrero are members of the enterprise community parters, inc. Board of trustees. Ari matusiak is president and ceo of rewiring america, inc. Alex laskey is executive chair of rewiring america.

Form 990, Part VI, Section A, Line 4

The bylaws were amended to grant the members the right to approve: (i) a reduction in the amount of a subaward granted to a subawardee, (ii) an increase in the amount of a subward granted to a subawardee; and (iii) a substanative amendment to power forward communities national clean investment fund grant agreement with the environmental protection agency.

The founding corporate members each have the right to appoint two members to power forward communities board of directors. The members have the right to appoint one member to the power forward communities board of directors, the chief executive officer is an ex officio member of the board of directors. The remaining directors are nominated by the nominating and governance committee and elected by the board of directors.

The process for determining compensation for the ceo and officer positions of power forward communities, inc. Is as follows: power forward communities engages an independent consulting firm with subject matter expertise in compensation to provide a compensation study for the ceo & officer positions to establish reasonableness. The human resources and compensation committee of the board receives the report of the independent consulting firm, reviews proposed compensation and approves the ceo's compensation. This process is documented in the committee and board meeting minutes. The process was last completed in 2024.

THE GRANT AGREEMENT, EPA PROGRAM GUIDANCE, AND UNIFORM ADMINISTRATIVE GUIDANCE REQUIREMENTS SERVED AS AUTHORITATIVE SOURCES FOR DEVELOPMENT OF PFC'S PROCEDURES. THE PROCEDURES GENERALLY REQUIRE SUBRECIPIENTS TO PROVE COST ALLOWABILITY AND ELIGIBILITY FOR EXPENDITURES AND OBLIGATIONS TO PFC BEFORE GAINING ACCESS TO AND USING GRANT FUNDING. PRIOR TO THE RELEASE OF GRANT FUNDING TO SUBRECIPIENTS, PFC REVIEWS AND APPROVES DOCUMENTATION CONFIRMING COST ELIGIBILITY AND ALLOWABILITY. IN ADDITION, PFC'S ANALYSIS OF FINANCIAL AND PERFORMANCE DATA SUBMITTED BY SUBRECIPIENTS DURING QUARTERLY, SEMI-ANNUAL, AND ANNUAL REPORTING CYCLES AFFORDS ADDITIONAL OPPORTUNITIES TO SCRUTINIZE AND VALIDATE SUBRECIPIENTS' USE OF GRANT FUNDING.
