“Chief operating officer will review form 990, after which a draft will be distributed to board members with detailed descriptions explaining form 990, opportunities for questions and consultations will be provided to all board members before submission.”
“An interested person must disclose in writing the existence of an actual, perceived, or potential conflict of interest, whether financial or otherwise. The interested person will be given the opportunity to disclose in writing all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. If the interested person involved does not make this disclosure, another director, committee member, or employee with knowledge of the actual, perceived, or potential conflict should draw it to the appropriate body's attention. Procedures for addressing the conflict of interest: after disclosure of the actual, perceived, or potential conflict and all material facts, and after any discussion with the interested person, s/he shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists; if it is determined that a conflict of interest exists, the chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement; after exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest; if a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement; in the case of disclosures of alternate board or officer positions, the board of directors may, following such disclosure, take such action as may be necessary to preserve the independence of the organization, including by seeking the resignation of the director or officer.”
“The process to establish compensation involved researching various sources, including public 990 tax returns, data from think tanks and foundations, third-party benchmarking studies, and salary ranges from publicly available job ads and platforms such as glassdoor, all while considering the factors of location and organization size. Based on this research, the board made the final decision to set compensation for specific roles, aligning their decision with the collected industry data and ensuring consistency with the organization's compensation structure.”
“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
“During the year the organization began the ppe program. Personal protective equipment (ppe) - the organization's research has identified a critical global shortfall in high-quality respiratory protection needed for future airborne pandemics. Building on these findings, the ppe program now focuses on advancing the stockpiling and manufacturing of highly protective reusable respirators to bolster preparedness.”
